Patent, Copyright and Nondisclosure Agreements. The Company agrees to require each employee of the Company to execute a Patent, Copyright and Nondisclosure Agreement and each consultant and advisor of the Company to execute an agreement that provides for confidential treatment of the Company’s proprietary information, substantially in a form reasonably acceptable to the Board, as a condition of employment or continued employment or engagement, as the case may be, unless otherwise approved by the Board.

Patent, Copyright and Nondisclosure Agreements. Except as set forth on SCHEDULE 2.22, each employee, officer and consultant (other than outside legal counsel and independent accounting firms) of each Company has entered into a Patent, Copyright and Nondisclosure Agreement substantially in the form attached hereto as EXHIBIT E, with such changes as may have been approved by the Board of Directors of the respective Company.

The Executive agrees that all the Inventions shall be the sole and exclusive property of the Company and the Executive hereby assign all his/her right, title and interest in and to any and all of the Inventions to the Company or its successor in interest without further consideration.
