Duties & Responsibilities. (a) Consultant hereby agrees to provide and perform for the Company those services set forth on Exhibit A attached hereto. Consultant shall devote its best efforts to the performance of the services and to such other services as may be reasonably requested by the Company and hereby agrees to devote, unless otherwise requested in writing by the Company, (a minimum of at least 20 hours of service per week/or assign a minimum of one individual to provide services to the Company).
Duties & Responsibilities. Executive shall assume and perform such executive or managerial duties and responsibilities as are assigned from time-to-time by the Managing Officer or such other officer designated by the Managing Officer, to whom Executive shall report and be accountable.

(a) During the Employment Term, Executive agrees to devote his entire business time, attention and energies to the business of the Company and its subsidiaries; provided however that Executive may engage in other activities that do not conflict with or interfere with the performance of his duties and responsibilities hereunder including without limitation (i) investing his assets or funds, so long as the business of any such entity in which he shall make his investments shall not be in direct competition with that of the Company, except that Executive may invest in an entity in competition with the Company if its stock is listed for trading on a national stock exchange or traded in the over-the-counter market and Executive's holdings represent less than 5% of its outstanding stock; or (ii) acting as a director, trustee, officer or upon a committee of any other firm, trust or corporation if such positions do not unreasonably interfere with the services to be rendered by Executive hereunder; or (iii) being involved in educational, civic or charitable activities which do not unreasonably interfere with the services to be rendered by Executive hereunder. During the Employment Term, the Executive shall, if elected or appointed, serve as a director of the Company.
Duties & Responsibilities. Xxxxxxxx shall hold the offices of Director and Chief Operating Officer of High Grade and in such capacity shall carry out the duties and responsibilities commensurate with those offices as set forth in Schedule “A”.
Duties & Responsibilities. Gather, analyze, and document existing requirements, business rules, and business processes of the various OC Community Resources browser-based applications and related database TSQL code. Make recommendations in the re-design of existing application software and database code to properly align software with current business requirements, business rules, and processes. Re-design, develop, unit test, deploy, maintain, and document the implemented software and database solution. The Applications Developer will work primarily on the budget and business analytics project.

Duties & Responsibilities. Employee shall function in whatever capacity(ies) Company shall assign, whether for Company or its subsidiary(ies) and shall report to such executive officer, or other designated superior of Employee, of Company or such subsidiary(ies) as may be designated from time to time. Employee shall perform the usual functions of such position(s) and functions as directed by such executive officer or superior from time to time. Employee shall truthfully, completely and accurately make, maintain and preserve all records and reports that Company may from time to time request or require. Employee shall also perform other duties for Company and its subsidiary(ies) as Company may otherwise reasonably order and direct through such executive officer and/or superior. Employee’s employment shall be subject to the policies of Company now or hereafter adopted.
Duties & Responsibilities. The employees will diligently and faithfully perform all the duties and responsibilities of their employment and such other duties as may reasonably be required by the Company from time to time. The employees undertake: • to devote the whole of the employee’s working time and attention and use the employee’s best endeavours to further the development, reputation and business of the Company; and • to observe all lawful directions, orders, instructions and policies (as varied from time to time) of the Company.
Duties & Responsibilities. Executive shall be employed by the Company as Senior Vice President and General Counsel and shall report solely and directly to the Company's Chief Executive Officer (the "CEO"). The duties and responsibilities of Executive shall be commensurate with those duties and responsibilities that are customarily assigned to such positions, as may be designated from time to time by the CEO. During the Term, Executive shall devote his full business time, attention and energies to the positions of Senior Vice President and General Counsel of the Company; provided, however, that Executive may devote reasonable amounts of time to (i) passive personal investments and (ii) charitable activities so long as such activities do not interfere with his performance pursuant to this Agreement. Executive's principal place of employment shall be the Company's headquarters in Rochester, New York, however Executive acknowledges that he may be required to travel in connection with his employment.
