Termination by Company Without Cause

This Agreement is made as of this 12th day of June, 2015, by and between Joseph Saoud (Executive) and Commercial Vehicle Group, Inc., a Delaware corporation with its principal office at 7800 Walton Parkway, New Albany, Ohio 43054, its subsidiaries, successors and assigns (the Company).

Termination by Company Without Cause. In the event of an Employment Separation as a result of termination by the Company without Cause, the Company will pay you the earned but unpaid portion of your Basic Salary through the termination date and will continue to pay you your Basic Salary in accordance with the Companys payroll practices in effect at the time of the Employment Separation for an additional twelve (12) months (the Severance Period); provided, however, any such payments will immediately end if (i) you are in violation of any of your obligations under this Agreement, including Sections 5, 6 or 7 ; or (ii) the Company, after your termination, learns of any facts about your job performance or conduct that would have given the Company Cause, as defined in Section 8.b), to terminate your employment. Additionally, you will be entitled to any Annual Bonus earned with respect to the previous calendar year, but unpaid as of the employment termination date; and a prorated amount of the Annual Bonus for the calendar year in which the termination occurs, calculated by multiplying the Annual Bonus that the Executive would have received for such year had Executives employment continued through the end of such calendar year by a fraction, the numerator of which is the number of days the Executive was employed during the applicable year and the denominator of which is 365. In the event that your employment is terminated by the Company Without Cause in connection with the appointment of a new CEO or other significant reorganization of the Companys executive team, the vesting of the restricted shares awarded to you in connection with your acceptance of the Companys offer of employment shall be accelerated such that all unvested restricted shares held by you at the time of such termination will automatically vest effective as of the date of your termination. For the avoidance of doubt, this provision applies only to the unvested restricted shares awarded to you at the time that you accepted your offer of employment with the Company, and any subsequent awards made pursuant to the Equity Incentive Plan are subject to the vesting provisions set forth in the Equity Incentive Plan.

This Agreement is made as of this 24th day of October, 2014, by and between Brent Walters (Executive) and Commercial Vehicle Group, Inc., a Delaware corporation with its principal office at 7800 Walton Parkway, New Albany, Ohio 43054, its subsidiaries, successors and assigns (the Company).

Termination by Company Without Cause. Termination by Company Without Cause. In the event of an Employment Separation as a result of termination by the Company without Cause, the Company will pay you the earned but unpaid portion of your Basic Salary through the termination date and will continue to pay you your Basic Salary in accordance with the Companys payroll practices in effect at the time of the Employment Separation for an additional twelve (12) months (the Severance Period); provided, however, any such payments will immediately end if (i) you are in violation of any of your obligations under this Agreement, including Sections 5, 6 or 7 ; or (ii) the Company, after your termination, learns of any facts about your job performance or conduct that would have given the Company Cause, as defined in Section 8.b), to terminate your employment. Termination by Company Without Cause. Termination by Company Without Cause. In the event of an Employment Separation as a result of termination by the Company without Cause, the Company will pay you the earned but unpaid portion of your Basic Salary through the termination date and will continue to pay you your Basic Salary in accordance with the Companys payroll practices in effect at the time of the Employment Separation for an additional twelve (12) months (the Severance Period); provided, however, any such payments will immediately end if (i) you are in violation of any of your obligations under this Agreement, including Sections 5, 6 or 7 ; or (ii) the Company, after your termination, learns of any facts about your job performance or conduct that would have given the Company Cause, as defined in Section 8.b), to terminate your employment. Termination by Company Without Cause from Non Competition Agreement

This Agreement is made as of this 22nd day of May, 2007, by and between Kevin R. L. Frailey (Executive) and Commercial Vehicle Group, Inc., a Delaware corporation with its principal office at 6530 W. Campus Oval, New Albany, Ohio 43054, its subsidiaries, successors and assigns (the Company).

Termination by Company Without Cause. In the event of an Employment Separation as a result of termination by the Company without Cause, the Company will pay you the earned but unpaid portion of your Basic Salary through the termination date and will continue to pay you your Basic Salary for an additional twelve (12) months (the Severance Period); provided, however, any such payments will immediately end if (i) you are in violation of any of your obligations under this Agreement, including Sections 6, 7 and/or 8; or (ii) the Company, after your termination, learns of any facts about your job performance or conduct that would have given the Company Cause, as defined in Section 9(b), to terminate your employment.

Termination by Company Without Cause from Non Competition Agreement

This Agreement is made as of this 22nd day of May, 2007, by and between William Gordon Boyd (Executive) and Commercial Vehicle Group, Inc., a Delaware corporation with its principal office at 6530 W. Campus Oval, New Albany, Ohio 43054, its subsidiaries, successors and assigns (the Company).

Termination by Company Without Cause. In the event of an Employment Separation as a result of termination by the Company without Cause, the Company will pay you the earned but unpaid portion of your Basic Salary through the termination date and will continue to pay you your Basic Salary for an additional twelve (12) months (the Severance Period); provided, however, any such payments will immediately end if (i) you are in violation of any of your obligations under this Agreement, including Sections 6, 7 and/or 8; or (ii) the Company, after your termination, learns of any facts about your job performance or conduct that would have given the Company Cause, as defined in Section 9(b), to terminate your employment.

Termination by Company Without Cause from Non Competition Agreement

This Agreement is made as of this 5th day of April, 2006, by and between Gerald L. Armstrong (Executive) and Commercial Vehicle Group, Inc., a Delaware corporation with its principal office at 6530 W. Campus Oval, New Albany, Ohio 43054, its subsidiaries, successors and assigns (the Company).

Termination by Company Without Cause. In the event of an Employment Separation as a result of termination by the Company without Cause, the Company will pay you the earned but unpaid portion of your Basic Salary through the termination date and will continue to pay you your Basic Salary for an additional twelve (12) months (the Severance Period); provided, however, any such payments will immediately end if (i) you are in violation of any of your obligations under this Agreement, including Sections 6, 7 and/or 8; or (ii) the Company, after your termination, learns of any facts about your job performance or conduct that would have given the Company Cause, as defined in Section 9(b), to terminate your employment.

Termination by Company Without Cause from Non Competition Agreement

This Agreement is made as of this 5th day of April, 2006, by and between James F. Williams (Executive) and Commercial Vehicle Group, Inc., a Delaware corporation with its principal office at 6530 W. Campus Oval, New Albany, Ohio 43054, its subsidiaries, successors and assigns (the Company).

Termination by Company Without Cause. In the event of an Employment Separation as a result of termination by the Company without Cause, the Company will pay you the earned but unpaid portion of your Basic Salary through the termination date and will continue to pay you your Basic Salary for an additional twelve (12) months (the Severance Period); provided, however, any such payments will immediately end if (i) you are in violation of any of your obligations under this Agreement, including Sections 6, 7 and/or 8; or (ii) the Company, after your termination, learns of any facts about your job performance or conduct that would have given the Company Cause, as defined in Section 9(b), to terminate your employment.

Termination by Company Without Cause from Non Competition Agreement

This Agreement is made as of this 5th day of April, 2006, by and between Mervin Dunn (Executive) and Commercial Vehicle Group, Inc., a Delaware corporation with its principal office at 6530 W. Campus Oval, New Albany, Ohio 43054, its subsidiaries, successors and assigns (the Company).

Termination by Company Without Cause. In the event of an Employment Separation as a result of termination by the Company without Cause, the Company will pay you the earned but unpaid portion of your Basic Salary through the termination date and will continue to pay you your Basic Salary for an additional twenty-four (24) months (the Severance Period); provided, however, any such payments will immediately end if (i) you are in violation of any of your obligations under this Agreement, including Sections 6, 7 and/or 8; or (ii) the Company, after your termination, learns of any facts about your job performance or conduct that would have given the Company Cause, as defined in Section 9(b), to terminate your employment.
