Transition Consulting Services. Commencing on the day following the Effective Date, the Bank agrees to retain Xxxxxxx as an independent consultant, and Xxxxxxx agrees to render transition consulting services to the Bank, for a period of six (6) months (the “Consulting Period”), unless such consulting arrangement is terminated pursuant to Section 2C hereof. Xxxxxxx will report to the Chief Executive Officer of the Bancorp, or their designee.
Transition Consulting Services. As we have discussed, your long and outstanding service with the Company will be a valuable resource to the Company in connection with the orderly transition to our next CFO and for a period of time following your Retirement Date. In consideration of the Company’s entering into this Retirement Agreement, you acknowledge and agree that following your Retirement Date until December 31, 2013, you will be available at mutually agreeable times to assist the Company and your successor CFO if requested by the Company or your successor CFO. In no event will such services exceed 20 percent of your average level of services performed over the 36 months immediately preceding your Retirement Date. The Company shall pay or reimburse you for any out-of-pocket expenses reasonably incurred by you in connection with your providing such requested assistance.
Transition Consulting Services. In the event Executive’s employment terminates on the Planned Termination Date, Executive shall provide consulting services to the Company, on a non-exclusive basis in accordance with a Consulting Agreement to be entered into between Executive and the Company substantially in the form attached hereto as Exhibit A (the “Consulting Agreement”) for an initial term commencing on May 1, 2020 and ending on June 30, 2020, subject to renewal as set forth in the Consulting Agreement.
Transition Consulting Services. Commencing on the Retirement Date and continuing through the Last Service Date (defined below), Executive Agrees to provide such advice and transition assistance to the Board and management of Company as may be designated from time to time by the Company (hereinafter, the “Services”). The period between the Retirement Date and the Last Service Date is hereinafter referred to as the “Transition Period”). During the Transition Period, you agree to spend sufficient time on Company matters so as to facilitate an orderly transition of responsibilities to the new CEO and the Board and to make yourself available up to 25 hours per month to attend to Company matters as requested. Such services will be performed on mutually agreed upon dates and such advisory services will not unreasonably interfere with your other business or personal activities. In providing the Services during the Transition period, you will be an independent contractor to the Company and will not be considered for any purpose to be an employee or agent of the Company and will not have the authority to speak on behalf of or bind the Company. However, all compensation under this Agreement, including any compensation attributable to the Services will be subject to tax withholding by the Company. The Company may terminate this Agreement immediately and without prior notice if Executive refuses to or is unable to perform the Services or is in breach of any material provision of this Agreement. Executive’s “Last Service Date” will be the last day of service as a consultant during the period starting on the Retirement Date and ending on the third anniversary of the Retirement Date, or such earlier termination date.
Transition Consulting Services. For a period not to exceed ninety (90) days following the Separation Date, Brown agrees to provide to the Company such transition consulting sexxxxxs as are reasonably requested by a designee of the Board.
Transition Consulting Services. Commencing on the day following the Effective Date, the Bank agrees to retain Alexander as an independent consultant, and Alexander agrees to render transition consulting services to the Bank, for a period of one (1) year (the “Consulting Period”), unless such consulting arrangement is terminated pursuant to Section 2C hereof.
Transition Consulting Services. (a) For a period of one (1) month commencing immediately upon your separation from employment on May 8, 2019 and continuing through June 8, 2019, or until such longer period as mutually agreed to by you and the Company (such actual period of time, the “Consulting Period”), you shall perform transition consulting services and any other services as reasonably requested by the Company. You shall provide these services at times reasonably requested by the Company, up to 5 hours per week, and the Company shall pay you a total of Four Thousand Dollars ($4,000) for such services. You and Xxxxxxxx Xxxxx and/or Xxxx Xxxxxxx shall communicate via telephone, email, or in person regarding the status of such transition consulting services.
Transition Consulting Services. TechCXO, LLC (“TechCXO”) will provide consulting services and executive talent pursuant to the scope of services under the terms and conditions of this Amendment No. 1 to the Consulting Services Agreement (“Agreement”). The Agreement shall be of no further effect. Any changes to the Agreement shall be documented and approved by TechCXO and Client in writing and attached to the Agreement. Scheduled service dates will be agreed upon mutually, subject to availability of TechCXO personnel.
Transition Consulting Services. The parties agree that the Company will need transition consulting services from Employee in connection with certain matters in which Employee has been involved during his employment with the Company. Accordingly, in consideration of the covenants of the Company hereunder, to the extent reasonably requested by the Company from time to time during the earlier of either the closing of the sale by the Company of the assets that it currently owns in the States of Colorado and Texas or six (6) months following the Agreement Date, Employee shall:
