Choice of Law; Dispute Resolution. 5.6.1 This Agreement shall be governed by, construed and enforced under the laws of the State of New York without giving effect to its conflicts of laws principles that would require the application of the laws of another state.

Any disputes arising from or related to this agreement shall be finally settled by binding, confidential arbitration by a single arbitrator selected using the rules and procedures for arbitrator selection under the JAMS' Expedited Procedures in its Comprehensive Arbitration Rules and Procedures ("JAMS"), in effect on the date of the commencement of arbitration to be held in Los Angeles, California. The prevailing party shall be entitled to recover its reasonable legal costs relating to that aspect of its claim or defense on which it prevails, and any opposing costs awards shall be offset. Notwithstanding the foregoing, Jukin Media shall have the right to commence and prosecute any legal or equitable action or proceeding before any court of competent jurisdiction to obtain injunctive or other relief against You in the event that, in the opinion of Jukin Media, such action is necessary or desirable to protect its intellectual property rights. The parties agree that, notwithstanding any otherwise applicable statute(s) of limitation, any arbitration proceeding shall be commenced within one year of the acts, events or occurrences giving rise to the claim.

If there is any dispute as to whether an introduction is to be subject to this Agreement, the parties will promptly meet to resolve such dispute in good faith. In the event action becomes necessary to enforce the terms of this Agreement, then the prevailing party shall be entitled to an award of its reasonable attorney's fees and costs through all stages of arbitration and/or litigation, induding trial and appellate court. Any controversy over the construction of this Agreement shall be decided neutrally, in light of its conciliatory purposes, and without regard to the events of authorship or negotiations.
