Delivery by the Buyer. At the Closing the Buyer is delivering to the Seller the payment provided for in Section 1.02 hereof.

Delivery by the Buyer. At the Closing, the Buyer shall deliver to the Seller the following: (i) this Agreement, duly executed, (ii) the Purchase Price and (iii) a copy of the resolutions adopted by the Buyer’s board of directors approving the execution and delivery of this Agreement and any other document to be delivered by the Buyer at Completion.
Delivery by the Buyer. At the Closing the Buyer is delivering to the Sellers, (i) stock certificates in the denominations set forth above and (ii) corporate minutes, certificates and opinions authorizing such transaction.
