Condition on delivery. Condition on delivery

"Banking days" are days on which banks are open both in the country of the currency stipulated for the Purchase Price in Clause 1 in London UK, Nassau Bahamas and in the place of closing stipulated in Clause 8.

Condition on delivery. No warranty is given or to be implied as to the condition of the Vessel, her merchantability or fitness for purpose and implied warranties in respect thereof are expressly excluded to the extent permitted by law. *Notes. if any, in the surveyor's report which are accepted by the Classification Society without condition/recommendation are not to be taken into account.

Euronav NV or its fully guaranteed nominee pursuant to the Framework Agreement (Name of buyers), hereinafter called the Buyers, have agreed to buy:

If the Vessel is taken over without inspection, the date of this Agreement shall be the relevant date. * Notes and memoranda, if any, in the surveyors report which are accepted by the Classification Society without condition/recommendation are not to be taken into account.

The Vessel shall be delivered free of cargo, cargo residue and dunnage with clean decks as well as free of any leakages, free of any inappropriate substances and/or unrecorded slops and with the Vessels oil record book properly filled in. The Vessel with everything belonging to her shall be at the Sellers risk and expense until she is delivered to the Buyers, but subject to the terms and conditions of this Agreement she shall be delivered and taken over as she was at the time of inspection referred to in Clause 4 a), fair wear and tear excepted. However, the Vessel shall be delivered with her class maintained without condition/recommendation*, free of average damage affecting the Vessels class, and with her classification certificates and all national and international trading/statutory certificates, as well as all other certificates the Vessel had at the time of inspection referred to in Clause 4 a), valid and unextended without condition/recommendation* and/or exemptions whatsoever by Class or the relevant authorities for a minimum period of 6 months from the date of delivery. All Vessels continuous survey cycles to be fully up to date at the time of delivery with no outstandings and/or conditions/recommendations. Inspection in this Clause 11, Shall mean the Buyers inspection according to Clause 4 a) or 4b), if applicable,-or the Buyers inspection prior to the signing of this Agreement. The Vessel shall be delivered free of average damage affecting the Vessels class, and with her interim classification certificates and national certificates, as well as all other certificates the Vessel had at the time of inspection delivery of the Vessel from the Builder to the Sellers, valid and unextended without condition/recommendation* by the Classification Society (save for minor conditions/recommendations as set out above in line 315) or the relevant authorities at the time of delivery. All relevant certificates and documents shall state that the Vessel is delivered in 2015. If the Sellers pursuant to the Shipbuilding Contract have to accept provisional or interim certificates, the Sellers undertake to provide the Buyers with formal and final and unextended certificates as soon as possible. If the Vessel is delivered with minor conditions/recommendations that are i) normally seen on newbuildlngs, ii) not overdue and iii) does not affect the Vessels ability to trade, the Sellers undertake to provide the Buyers with formal, final and unextended certificates as soon as possible. For the avoidance of doubt, all costs in connection with the provision of formal, final and unextended certificates shall be for the Sellers account. inspection in this Clause 11, shall mean the Buyers inspection according to Clause 4(a) or 4(b) (Inspections), if applicable.
