Representations and Warranties of the Protected Partner. The Protected Partner has the requisite corporate or other (as the case may be) power and authority to enter into this Agreement and to perform its respective obligations hereunder. The execution and delivery of this Agreement by the Protected Partner and the performance of its respective obligations hereunder have been duly authorized by all necessary trust, partnership, or other (as the case may be) action on the part of the Protected Partner. This Agreement has been duly executed and delivered by the Protected Partner and constitutes a valid and binding obligation of the Protected Partner.
