Waiver of Severance. If Executive is terminated by the Company without Cause or Executive terminates his employment without Good Reason (including, in both instances, termination following a Change of Control), Executive is entitled to waive his right to receive severance compensation set forth in Section 7(e) and 8(b) (by a written waiver delivered to the Company on the effective date of termination) and, in such case, the non-competition provisions of Section 9 shall not apply.
Waiver of Severance. If the Executive’s employment terminates pursuant to Section 5(d) and the Executive chooses to waive his right to severance as provided for under those Sections, this Covenant Not to Compete shall not take effect.
Waiver of Severance. Unless otherwise agreed in writing by the parties, the Executive agrees that the payments under this Agreement are in lieu of, and the Executive hereby waives the right to receive, any other severance payments or benefits to which Executive is otherwise eligible to receive upon a termination of employment now or in the future under any severance plan, practice or program of the Company or under any agreement between the Company and the Executive.
Waiver of Severance. Each executive officer and employee of Giga listed on Schedule 3.23 shall have waived any right to, or modified any agreement providing for severance, to eliminate the right to payments of any severance arising solely as a result of a change in position or responsibilities during the 12 months immediately following the change of control of Giga at the Closing as contemplated by this Agreement.
Waiver of Severance. To receive the Termination Payments B, Executive will be required to waive all rights to any severance otherwise payable under any applicable Western Union severance policy, if any. Failure of Executive to give a Good Reason Notice or receive a No Cause Termination Notice by the end of February 2008 terminates any right to Termination Payments B. Except as provided in this Agreement, at all subsequent times during the Employment Period and thereafter if applicable, Executive will be subject to the terms of the applicable Western Union severance policy, if any, and its terms will supersede the severance provisions of this Agreement.
Waiver of Severance. Seller shall have obtained waivers of any and all rights to retention or severance benefits related to the transactions contemplated hereby from any employee of Seller holding such rights.
Waiver of Severance. Prior to the Effective Date, Xx. Xxxxxx Xxxxxxxxxx and any other continuing officer of Trillium if applicable, shall have entered into an new employment agreement with Stem Cell on substantially the same terms as his existing Trillium employment contract. Any change of control, severance, termination or unemployment compensation, payable by Trillium pursuant to the existing Trillium employment, including Dr. Stiernholm’s Trillium employment contract, shall have been waived prior to the Effective Date in respect of the Transaction, other than as required by applicable Laws for employees without agreements as to notice or severance
Waiver of Severance. In consideration of the Company’s willingness to enter into this Agreement, the Employee hereby waives any and all severance benefits the Employee might be entitled to in connection with the termination of employment and the Employee’s resignation as an employee of the Company, whether contained in a policy, written agreement, or otherwise. The Employee specifically waives any benefits made available to Officers of the Company under the Xxxxxxx River Corporate Officer Separation Plan.
Waiver of Severance. By signing this Agreement, you acknowledge and agree that you are not entitled to any benefits under the Company’s Senior Officer Severance Plan and your Change in Control Agreement; and you agree to waive any rights to severance or to any other benefits under such plans or any other severance plans or arrangements of the Company other than (1) the plans and arrangements referenced in the previous sentence, and (2) any other plans, awards, and benefit arrangements explicitly referenced in this Agreement, the employee benefits to which you are entitled under the employee benefit plans of the Company that are generally applicable to all employees or executives, as applicable, shall be determined under and, if payable, payable in accordance with the applicable benefit plan documents.
Waiver of Severance. Executive hereby expressly waives his rights and releases TSC from its obligations pursuant to Section 3 (a) of the Employment Agreement pertaining to severance compensation, and the parties agree that in lieu thereof Executive shall be entitled to receive the compensation set forth in Section 3 of this Agreement.
