Benefits in the Event of a Change of Control. In the event of a Change of Control, and provided that you agree in a written instrument satisfactory to the Company in its sole discretion, to release the Company, its employees, agents, and related entities from any and all claims arising out of or related to your employment or termination of employment to extent permitted by law, you will be entitled to the following benefits as set forth below:

Benefits in the Event of a Change of Control. If (i) a Change of Control (defined below) occurs and (ii) during the period beginning two (2) months prior to the effective date of such Change of Control and ending twenty-four (24) months after the effective date of such Change of Control, Employee’s employment with the Company is terminated either (A) by the Company for reasons other than Cause (defined below) or for no reason or (B) by Employee for Good Reason (defined below), then, without further action by Employee or the Company, Employee shall be entitled to the benefits set forth below:

  • Termination Following a Change of Control If the Employee's employment terminates at any time within eighteen (18) months following a Change of Control, then, subject to Section 5, the Employee shall be entitled to receive the following severance benefits:

  • Termination Apart from Change of Control In the event the Employee’s employment is terminated for any reason, either prior to the occurrence of a Change of Control or after the twelve (12) month period following a Change of Control, then the Employee shall be entitled to receive severance and any other benefits only as may then be established under the Company’s (or any subsidiary’s) then existing severance and benefits plans or pursuant to other written agreements with the Company.

  • Effect of a Change in Control In the event of a Change in Control, Sections 6 through 13 of this Agreement shall become applicable to Executive. These Sections shall continue to remain applicable until the third anniversary of the date upon which the Change in Control occurs. On such third anniversary date, and provided that the employment of Executive has not been terminated on account of a Qualifying Termination (as defined in Section 5 below), this Agreement shall terminate and be of no further force or effect.
