Office and Assistant. Maxim will provide Xxxxxxx with the same office that Xxxxxxx is utilizing now and Xxxxx Xxxxx (formerly Xxxxx Xxxxx) will continue to be his administrative assistant throughout the period he remains as a part-time employee. If Xxxxxxx’x part-time employment terminates through his retirement or termination by Maxim without “cause,” Maxim will continue to provide his existing office space and Xxxxx Xxxxx as his administrative assistant provided he remains available to consult to Maxim. Xxxxx Xxxxx will be provided as Xxxxxxx’x administrative assistant pursuant to this Section 12 to the extent she remains employed by Maxim, and is willing to do so; provided that if Xx. Xxxxx is not available for these reasons, Maxim will assign another administrative assistant acceptable to Xxxxxxx to work with Xxxxxxx pursuant to this Section 12. If Xxxxxxx’x part-time employment terminates through his retirement or termination by Maxim without “cause” and Xxxxxxx is not providing services to Maxim, Maxim may, in lieu of providing Xxxxxxx with his current office, provide Xxxxxxx with office space comparable to his current office space and located not on a Maxim campus but within a reasonable distance from Xxxxxxx’x residence, along with an administrative assistant acceptable to Xxxxxxx. If Xxxxxxx’x employment is terminated for “cause” (as defined above), Xxxxxxx shall not be entitled to the above-referenced office space and assistant.
Office and Assistant. You shall vacate your office at the Company's Portland, Oregon location no later than 5:00 p.m. Pacific Standard Time, on August 11, 1995. You shall be permitted to remove art related to the Xxxxx family from the Company's offices and from the Company's air terminal, and all of your personal belongings wherever located. No later than August 4, 1995, the Company shall make a single sum payment to you by check in the amount of $90,000, to be used by you for purposes of your arranging for and entering into a lease for an office for you and one assistant, in a Class A office building, other than the US Bancorp Tower, located in downtown Portland, Oregon, which amount is intended to provide for the rent payments, utilities costs and tenant improvements for said office through December 31, 1996. The Company shall pay the costs of providing suitable office furniture and equipment for you and your assistant, in each case reasonably consistent with the standards for office furniture and equipment at the Company's headquarters in Portland, Oregon. Additionally, the Company shall pay the reasonable salary of, and provide regular Company employee benefits to, your assistant through December 31, 1996; provided, however, that the Company shall not be required to pay more than $48,000 per annum in salary to your assistant. After 1996, the Company shall continue to pay the salary of and provide Company employee benefits, to the extent legally permissible under applicable law, for your assistant; provided, however, that you shall fully reimburse the Company for such salary payments and for the Company's costs incurred in providing all such employee benefits.
Office and Assistant. JPMC will provide Xxxxxxx with: (i) the services of his current assistant (unless JPMC terminates her employment for cause or she terminates her employment voluntarily) at JPMC’s expense; and (ii) an office allowance of $5,200 per calendar month, paid no later than the end of the calendar month to which the allowance relates (or, in the case of the allowance for February 2010, the seventh business day following the Effective Date), from February 1, 2010, through the earliest of: (A) September 30, 2010; (B) the date he becomes employed full-time by another employer; (C) the date he becomes employed part-time by another employer if such employer provides him with an office or if, in JPMC’s sole discretion, such employment would conflict with the interests of JPMC; and (D) the date that he accepts self-employment assignments (including consulting or directorships) that, in JPMC’s sole discretion, would conflict with the interests of JPMC. Xxxxxxx acknowledges that JPMC will withhold applicable taxes, and report amounts as income to Xxxxxxx, as it deems necessary. Xxxxxxx shall notify JPMC in writing before accepting other employment or self-employment before September 30, 2010.

  • Secretary and Assistant Secretary The Secretary shall be responsible for filing legal documents and maintaining records for the Company. The Secretary shall attend all meetings of the Board and record all the proceedings of the meetings of the Company and of the Board in a book to be kept for that purpose and shall perform like duties for the standing committees when required. The Secretary shall give, or shall cause to be given, notice of all meetings of the Member, if any, and special meetings of the Board, and shall perform such other duties as may be prescribed by the Board or the President, under whose supervision the Secretary shall serve. The Assistant Secretary, or if there be more than one, the Assistant Secretaries in the order determined by the Board (or if there be no such determination, then in order of their election), shall, in the absence of the Secretary or in the event of the Secretary’s inability to act, perform the duties and exercise the powers of the Secretary and shall perform such other duties and have such other powers as the Board may from time to time prescribe.

  • Office and Agent The Company shall continuously maintain an office and registered agent in the State of California as required by the Act. The principal office of the Company shall be as the Management Committee may determine.
