Bonuses from Employment Agreement

THIS EMPLOYMENT AGREEMENT (this "Agreement") is entered into on March 6, 2017 and is effective as of February 1, 2017 (the "Effective Date"), by and between InnerWorkings, Inc., a Delaware corporation (the "Company") and Robert L. Burkart ("Executive").

Bonuses. In addition to the Base Salary, starting for the 2017 fiscal year, Executive shall be eligible to receive a bonus at a target of no less than 50% of his Base Salary (the "Performance Bonus"), i.e., a $125,000 bonus target for the 2017 performance year. The Performance Bonus shall be a discretionary bonus, determined in the sole discretion of the Board or the Compensation Committee thereof, based upon Executive's performance of his duties and the Company's financial performance, as well as certain performance targets that are approved by the Compensation Committee. The Company will pay Executive's Performance Bonus for each year at the same time as annual performance bonus payments for such year (if any) are made to other participants with respect to such fiscal year, and in all events, within the two and one half (21/2) months following the end of the year in which the Performance Bonus becomes vested. The Performance Bonus is intended to qualify for the short-term deferral exception to Section 409A of the Internal Revenue Code of 1986, as amended (the "Code"). In addition, Executive shall be eligible to receive a $30,000 project-based bonus in 2017 tied to the achievement of a key technology implementation milestone approved by the Chief Executive Officer.

Bonuses from Employment Agreement

This EMPLOYMENT AGREEMENT (this Agreement) is entered into on this 25th day of November, 2013, by and between Penn National Gaming, Inc., a Pennsylvania corporation (the Company), and Saul V. Reibstein, an individual residing in Pennsylvania (Executive).

Bonuses. Executive shall participate in the Companys annual incentive compensation plan applicable to other similarly situated senior executives (Peer Executives) for fiscal years commencing in January, 2014, with a target payment of not less than 60% of the Base Salary in effect at the beginning of such calendar year and a maximum payment of up to 90% of such Base Salary amount. Each annual bonus award earned in a fiscal year shall be paid pursuant to the terms of the annual incentive plan by March 15 of the immediately following fiscal year, unless the plan provides for a different payment date or Executive elects to defer the receipt of such bonus award pursuant to an arrangement that meets the requirements of Section 409A. To the extent that additional cash incentive compensation programs (other than annual cash bonus awards) are generally made available to Peer Executives, Executive shall be eligible to participate in such programs.

Bonuses from Employment Agreement

THIS EMPLOYMENT AGREEMENT (this Agreement) is effective as of July 16, 2008 (the Effective Date), by and between Innerworkings, Inc., a Delaware corporation (the Company), and Joe Busky (Manager).

Bonuses. In addition to the Base Salary, Manager shall be eligible to receive an annual performance bonus (Performance Bonus) under the InnerWorkings Annual Incentive Plan (or any successor plan thereto). The Performance Bonus shall have a target payment date within 2-1/2 months following the end of each fiscal year of the Company, but in no event shall the Performance Bonus be paid later than the end of the calendar year following the end of the fiscal year on which the Performance Bonus is based, unless such amounts have otherwise been deferred in compliance with Section 409A of the Internal Revenue Code of 1986, as amended (the Code).

Bonuses from Employment Agreement

This Employment Agreement (Agreement) is made and entered into on this 1st day of November, 2007, effective as of the date set forth in paragraph 2.1 below, and is by and between FOREFRONT GROUP, INC., a Florida corporation (the Company), and J. STAN HARRIS (hereinafter called the Executive).

Bonuses. During the Term of Employment, the Executive shall be eligible to receive bonuses pursuant to any management bonus program of the Company then in effect in such amounts and at such times as the Board shall determine in its sole discretion pursuant to the terms of the program. The amount of any such bonus, assuming the Executives achievement of applicable milestones, shall be based primarily upon the overall performance of the Company. In the initial two years of this Agreement, the bonus criteria milestones will include exceeding the financial results in the proposed operating budget by increasing top line revenue and reducing the operating losses as projected. Subject to the approval of the Board, the bonus potential for the Executive shall be an amount up to 100% of the Base Salary. If at any time during the Term of Employment the Executive is terminated without cause or as a result of disability of the Executive pursuant to the terms hereof or in the event of the death of the Executive, then the Executive (or his personal representative as the case may be) shall be entitled to receive a pro-rata portion of the bonus, if any, which accrued during the applicable year in which said termination occurs.

Bonuses from Restated Employment Agreement

THIS RESTATED EMPLOYMENT AGREEMENT (the Agreement) is made and entered into on this 31st day of October, 2007, effective as of the date set forth in paragraph 2.1 below, and is by and between ForeFront Group, Inc., a Florida corporation (the Company), and Richard Allen Oleksyk (hereinafter called the Executive).

Bonuses. During the Term of Employment, the Executive shall be eligible to receive bonuses pursuant to any management bonus program of the Company then in effect in such amounts and at such times as the Board (or the compensation committee thereof) shall determine in its sole discretion pursuant to the terms of the program. If at any time during the Term of Employment the Executive is terminated without cause or as a result of disability of the Executive pursuant to the terms hereof or in the event of the death of the Executive, then the Executive (or his personal representative as the case may be) shall be entitled to receive a pro-rata portion of the bonus, if any, which accrued during the applicable year in which said termination occurs. The amount of any such bonus, assuming the Executives achievement of applicable milestones, shall be based primarily upon the overall performance of the Company. Subject to the approval of the Board (or the compensation committee thereof), the bonus potential for the President position is no greater than 75% of the Base Salary.

Bonuses from Employment Agreement

This Employment Agreement (Agreement) is made and entered into on this 16th day of April, 2007, effective as of the date set forth in paragraph 2.1 below, and is by and between ForeFront Group, Inc., a Florida corporation (the Company), and Richard Allen Oleksyk (hereinafter called the Executive).

Bonuses. During the Term of Employment, the Executive shall be eligible to receive bonuses pursuant to any management bonus program of the Company then in effect in such amounts and at such times as the Board (or the compensation committee thereof) shall determine in its sole discretion pursuant to the terms of the program. If at any time during the Term of Employment the Executive is terminated without cause or as a result of disability of the Executive pursuant to the terms hereof or in the event of the death of the Executive, then the Executive (or his personal representative as the case may be) shall be entitled to receive a pro-rata portion of the bonus, if any, which accrued during the applicable year in which said termination occurs. The amount of any such bonus, assuming the Executives achievement of applicable milestones, shall be based primarily upon the overall performance of the Company. Subject to the approval of the Board (or the compensation committee thereof), the bonus potential for the President position is no less than 30% and no greater than 50% of the Base Salary.

Bonuses from Agreement

This Employment Agreement ("Agreement") is made and entered into on this 15th day of May, 2006, effective as of the date set forth in paragraph 2.1 below, and is by and between Carekeeper Solutions, Inc., a Florida corporation (the "Company"), and Dorothy C. Levy (hereinafter called the "Executive").

Bonuses. During the Term of Employment, the Executive shall be eligible to receive bonuses pursuant to any management bonus program of the Company then in effect in such amounts and at such times as the Board (or the Compensation Committee thereof) shall determine in its sole discretion pursuant to the terms of the program. If at any time during the Term of Employment the Executive is terminated without cause or as a result of disability of the Executive pursuant to the terms hereof or in the event of the death of the Executive, then the Executive (or the deceased Executive's estate, as the case may be) shall be entitled to receive a pro-rata portion of the bonus, if any, which accrued during the applicable year in which said termination occurs. The amount of any such bonus, assuming the Executive's achievement of applicable milestones, shall be based primarily upon the overall performance of the Company. Subject to the approval of the Compensation Committee, the bonus potential for the Director of Quality Assurance position is anticipated to be an amount up to 5% of the Base Salary.

Bonuses from Agreement

This Employment Agreement ("Agreement") is made and entered into on this 15th day of May, 2006, effective as of the date set forth in paragraph 2.1 below, and is by and between Carekeeper Solutions, Inc., a Florida corporation (the "Company"), and Jake A. Levy (hereinafter called the "Executive").

Bonuses. During the Term of Employment, the Executive shall be eligible to receive bonuses pursuant to any management bonus program of the Company then in effect in such amounts and at such times as the Board (or the Compensation Committee thereof) shall determine in its sole discretion pursuant to the terms of the program. If at any time during the Term of Employment the Executive is terminated without cause or as a result of disability of the Executive pursuant to the terms hereof or in the event of the death of the Executive, then the Executive (or the deceased Executive's estate, as the case may be) shall be entitled to receive a pro-rata portion of the bonus, if any, which accrued during the applicable year in which said termination occurs. The amount of any such bonus, assuming the Executive's achievement of applicable milestones, shall be based primarily upon the overall performance of the Company. Subject to the approval of the Compensation Committee, the bonus potential for the Chief Executive Officer position is anticipated to be an amount up to 30% of the Base Salary.

Bonuses from Employment Agreement

This Employment Agreement (Agreement) is made and entered into on this 9th day of January, 2006, effective as of the date set forth in paragraph 2.1 below, and is by and between Datrek Miller International, Inc., a Florida corporation (the Company), and Randall J. Frapart (hereinafter called the Executive).

Bonuses. During the Term of Employment, the Executive shall be eligible to receive bonuses pursuant to any management bonus program of the Company then in effect in such amounts and at such times as the Board (or the Compensation Committee thereof) shall determine in its sole discretion pursuant to the terms of the program. If at any time during the Term of Employment the Executive is terminated without cause or as a result of disability of the Executive pursuant to the terms hereof or in the event of the death of the Executive, then the Executive shall be entitled to receive a pro-rata portion of the bonus, if any, which accrued during the applicable year in which said termination occurs. The amount of any such bonus, assuming the Executives achievement of applicable milestones, shall be based primarily upon the overall performance of the Company. Subject to the approval of the Compensation Committee, the bonus potential for the Chief Financial Officer position is anticipated to be an amount up to 30% of the Base Salary.
