Scheduled Payments of Interest. Except as otherwise expressly provided in Section 5(b) hereof, interest shall accrue at the rate of (a) five percent (5.0%) per annum on the unpaid principal amount of this Note outstanding from time to time from and including the date of issuance of this Note until October 21, 2011, (b) seven percent (7.0%) per annum on the unpaid principal amount of this Note outstanding from time to time from and including October 21, 2011, until January 21, 2012, and (c) nine percent (9.0%) per annum on the unpaid principal amount of this Note outstanding from time to time from and including January 21, 2012, and thereafter, or in each case (if less) at the highest rate then permitted under applicable law. The Company shall pay to the holder of this Note all accrued and unpaid interest on the last day of each fiscal quarter, beginning September 30, 2011. Unless prohibited under applicable law, any accrued interest which is not paid on the date on which it is due and payable shall bear interest at the same rate at which interest is then accruing on the principal amount of this Note until such interest is paid. Interest shall accrue on any principal payment due under this Note and, to the extent permitted by applicable law, on any interest which has not been paid on the date on which it is due and payable until such time as payment therefor is actually delivered to the holder of this Note. All interest shall be computed on the basis of the actual number of days elapsed and a year of 365/366 days.
