Extensions and Waivers. At any time prior to the Closing, the parties hereto entitled to the benefits of a term or provision may (a) extend the time for the performance of any of the obligations or other acts of the parties hereto, (b) waive any inaccuracies in the representations and warranties contained herein or in any document, certificate or writing delivered pursuant hereto, or (c) waive compliance with any obligation, covenant, agreement or condition contained herein. Any agreement on the part of a party to any such extension or waiver shall be valid only if set forth in an instrument or instruments in writing signed by the party against whom enforcement of any such extension or waiver is sought. No failure or delay on the part of any party hereto in the exercise of any right hereunder shall impair such right or be construed to be a waiver of, or acquiescence in, any breach of any representation, warranty, covenant or agreement.

No latitude, extension of time or other indulgence which may be given or allowed by any Party to any other Party in respect of the performance of any obligation hereunder or enforcement of any right arising from any Finance Document and no single or partial exercise of any right by any Party shall under any circumstances be construed to be an implied consent by such Party or operate as a waiver or a novation of, or otherwise affect any of that Party’s rights in terms of or arising from any Finance Document or estop such Party from enforcing, at any time and without notice, strict and punctual compliance with each and every provision or term of any Finance Document.

This Agreement may not be amended, supplemented or otherwise modified in any respect except by an instrument in writing of even or subsequent date hereto duly executed by the parties hereto. The parties hereto may not (a) extend the time for the performance of any of the obligations or other acts of the parties hereto, (b) waive any inaccuracies in the representations and warranties contained in this Agreement or in any documents delivered pursuant to this Agreement or (c) waive compliance with or modify any of the covenants or agreements contained in this Agreement and waive or modify performance of any of the obligations of any of the parties hereto, except by an instrument in writing signed by the parties purporting to be bound thereby.
Extensions and Waivers. Each party to this Agreement may, by written notice to the other, (i) extend the time for the performance of any of the obligations or other acts of the other party and (ii) waive performance of any of the obligations of the other party. No such written waiver by the parties hereto of any default or breach of any term or condition of this Agreement shall be deemed to be a waiver of any other breach of this Agreement or any other term or condition contained herein.

At any time prior to the Effective Time, the parties hereto, by act or order by their respective Boards of Directors, may (i) extend the time for the performance of any of the obligations or other acts of the parties hereto, (ii) waive any inaccuracies in the representations and warranties contained herein or in any document delivered pursuant hereto, and (iii) waive compliance with any of the agreements or conditions contained herein except the conditions set forth in Section 5.3.1
Extensions and Waivers. Except as disclosed in Section 4.11(d) of the Disclosure Schedule, FirstFederal has not requested any extension of time within which to file any tax return, which tax return has not since been filed, nor has FirstFederal executed any outstanding waivers or comparable consents regarding the application of the statute of limitations with respect to any taxes or tax returns.
