Participation Effective Date. 2.1 This Agreement will be effective on the date on which all of the following have occurred (the "Participation Effective Date"): (a) this Agreement is executed and delivered by the Parties hereto; (b) the Bankruptcy Court has entered an order, which order approves (i) this Agreement and the other Operative Documents in substantially the form attached hereto, and (ii) modifications to the Plan, as contemplated herein, in accordance with Section 1127 of the Bankruptcy Code; and (c) the RUS has accepted such modifications to the Plan and this Agreement (including the Exhibits hereto), which acceptance shall be evidenced by the RUS failing to notify Big Rivers that it has changed its acceptance of the Plan by the date established by the Bankruptcy Court for such notifications, under Bankruptcy Code Section 1127(d).
