Adjusted Closing Price definition

Adjusted Closing Price has the meaning given in Section 2(c)(ii).
Adjusted Closing Price means, for a given trading day, the Closing Price of the stock of the company being measured on such trading day, as adjusted as follows: if the company being measured has declared a dividend with respect to which the ex-dividend date is during the Beginning Average Period, the amount of such dividend shall be added to the Closing Price for each trading day during the Beginning Average Period that is on or after such ex-dividend date, and
Adjusted Closing Price means a dollar amount equal to (i) if the Average Trading Price is greater than $47.00 and less than $51.00, then the Average Trading Price; (ii) if the Average Trading Price is greater than or equal to $51.00, then $51.00; or (iii) if the Average Trading Price is equal to or less than $47.00, then $47.00.

Adjusted Closing Price means, for any security as of any date, the adjusted closing price for such security on the Principal Market during the period beginning at 9:30:01 a.m., New York Time (or such other time as the Principal Market publicly announces is the official open of trading), and ending at 4:00:00 p.m., New York Time (or such other time as the Principal Market publicly announces is the official close of trading) as reported by Yahoo! Finance.
Adjusted Closing Price means the average of the closing prices of the Shares on the New York Stock Exchange for all trading days during the period of ten (10) consecutive trading days concluding with the last trading day which precedes the Closing Date.

Adjusted Closing Price means the consecutive five trading day average closing price of one share of X. Xxxxx Financial, Inc. common stock (“Common Stock”), plus the aggregate amount of dividends paid with respect to such share of Common Stock prior to the Vesting Date assuming the dividends had been reinvested in Common Stock as of the ex-dividend date (in each case appropriately adjusted for any stock splits or other corporate transaction affecting shares of Common Stock). The Grantee may satisfy the minimum statutory tax withholding and employment tax obligations associated with the vesting of the PSUs, by surrendering Shares to the Company (including Shares that would otherwise be issued upon vesting of the PSUs) that have a Fair Market Value equal to such tax withholding and/or employment tax obligations.
Adjusted Closing Price means (i) if the Actual Closing Price is at least 20% higher than the Signing Price (as defined below), then an amount equal to 120% of the Signing Price; or (ii) if the Actual Closing Price is at least 20% lower than the Signing Price, an amount equal to 80% of the Signing Price; or (iii) if the Actual Closing Price is neither 20% higher than the Signing Price nor 20% lower than the Signing Price, then an amount equal to the Actual Closing Price.
