Limitation Of Tenant’s Recourse. Tenant’s sole recourse against Landlord shall be to Landlord’s interest in the Building and the Outside Areas. If Landlord is a corporation, trust, partnership, joint venture, limited liability company, unincorporated association, or other form of business entity, Tenant agrees that (i) the obligations of Landlord under this Lease shall not constitute personal obligations of the officers, directors, trustees, partners, joint venturers, members, managers, owners, stockholders, or other principals of such business entity, and (ii) Tenant shall have recourse only to the interest of such corporation, trust, partnership, joint venture, limited liability company, unincorporated association, or other form of business entity in the Building and the Outside Areas for the satisfaction of such obligations and not against the assets of such officers, directors, trustees, partners, joint venturers, members, managers, owners, stockholders or principals. Tenant further agrees that each of the foregoing covenants and agreements shall be enforceable by Landlord and by any partner or member of Landlord and shall be applicable to any actual or alleged misrepresentation or nondisclosure made regarding this Lease or the Leased Premises or any actual or alleged failure, default or breach of any covenant or agreement either expressly or implicitly contained in this Lease or imposed by statute or at common law. 12.5
Limitation Of Tenant’s Recourse. Notwithstanding any provision of this Lease to the contrary, Tenant shall not be liable to Landlord for consequential or special damages, except that this sentence (i) shall not limit the indemnification obligations of Tenant hereunder with respect to third party claims, (ii) shall not apply to claims for the breach by Tenant of Tenant’s obligations under Paragraph 4.11, (iii) shall not limit Landlord’s right to recover from Tenant, (a) damages for Tenant’s breach of this Lease as described in Paragraph 12.2 above, to the extent recoverable from Tenant under applicable Laws, or (b) consequential damages if Tenant holds over after the Lease Expiration Date or prior termination of this Lease, provided that Landlord delivers to Tenant a Vacation Notice as and when required by Paragraph 13.2.
