Officers, Directors and Key Employees. Schedule 3.15 sets forth (a) the name and total direct compensation of each employee, consultant, agent or other representative of Seller whose current or committed annual rate of compensation (including bonuses and commissions) exceeds $25,000, (b) all wage and salary increases, bonuses and increases in any other direct compensation received by or accrued to such persons since December 31, 1995, (c) any payments or commitments to pay any severance or termination pay to any such persons or to any other person, and (d) any accrual for, or any commitment or agreement by Seller to pay, such increases, bonuses or pay. Except as set forth on Schedule 3.15, the employment of all persons presently employed by Seller are terminable at will.

Schedule 3.31 sets forth the name and total current annual compensation of each person who is now an officer or director of the Company, an employee, consultant, agent or other representative of the Company whose annual rate of compensation (including bonuses and commissions) exceeds Seventy Five Thousand Dollars ($75,000). With the exception of salary increases granted in the ordinary course of business and in a manner and amount consistent with its past practices, the Company has not made a commitment or agreement to increase the compensation or to modify the conditions or terms of employment of any such person. Except as set forth on Schedule 3.31, none of such persons currently holding such a position has indicated that he or she will cancel or otherwise terminate such person's relationship with the Company.

Schedule 3.27 ----------------------------------------------------- sets forth: (i) the name and total compensation of each officer, director and each other employee of each of the SUBSIDIARIES, and the name and total compensation of each employee of SELLER, whose total compensation exceeds $75,000 per year; (ii) all bonuses received by such persons since December 31, 1994, and any accrual for such bonuses; and (iii) all commitments or agreements by any of the SUBSIDIARIES to increase the compensation of any of these persons. Except as set forth on Schedule 3.27, none of the SUBSIDIARIES has any contractual arrangement (written or oral) with any current or former officer, director or employee of any of the SUBSIDIARIES or any AFFILIATE thereof.

Section 4.18 of the Company Disclosure Schedule sets forth (i) the name, title and total compensation (payable by the Company or any of its Subsidiaries) of each officer and director of the Company and the Subsidiaries and of each other employee and consultant of the Company and the Subsidiaries whose total compensation (so payable and including bonuses and commissions) for the year ended December 31, 2000 equaled or exceeded $60,000 or who will receive compensation (including bonuses and commissions) for the year ending December 31, 2001 equal to or in excess of $60,000, (ii) all bonuses and other incentive compensation received by such Persons since January 1, 2000, and any accrual for such bonuses and incentive compensation, and (iii) all Contracts or commitments by the Company or any of its Subsidiaries to increase the compensation or to modify the conditions or terms of employment of any of their respective officers or directors, or other employees or consultants of the Company and the Subsidiaries whose total compensation (including bonuses and commissions) exceeds $60,000 per annum.

Schedule 3.23 sets forth (i) the name and the scheduled 1996 total compensation of each officer and director of the Company and the Subsidiaries, (ii) the name and scheduled total compensation of each other employee, consultant, agent or other representative of the Company or any of the Subsidiaries whose current or committed annual rate of compensation (including bonuses and commissions) exceeds $150,000, (iii) all wage and salary increases, bonuses and increases and any other direct or indirect compensation received by such Persons since December 31, 1995, (iv) any payments or commitments to pay any severance or termination pay to any such Persons, and (v) any accrual for, or any commitment or agreement by the Company or any of the Subsidiaries to pay, such increases, bonuses or pay. None of such Persons has indicated that he or she will cancel or otherwise terminate such Person's relationship with the Company or any of the Subsidiaries.

Schedule 5.12 hereto is a complete and correct list of (i) the officers and directors of each of Seller and ODM immediately prior to the transaction contemplated by this Agreement; the name, position and total compensation, including bonuses, of each officer and director of ODM, (ii) the name of each employee, consultant, independent contractor, agent or other representative of Seller and/or ODM who received $20,000 or more in any form of compensation from Seller since January 1, 1997, and (iii) all wage or salary increases or bonuses received by any such person since the Balance Sheet Date, and any accruals for or commitment or agreement by either Seller or ODM, as the case may be, to pay such increases or bonuses. Except as set forth in Schedule 5.12, none of such persons has, in writing or (to the knowledge of the Seller or OTC) orally, threatened, informed or otherwise indicated to Seller or ODM or any officer or director of Seller or ODM that he or she plans to cancel or otherwise terminate his or her relationship with Seller or ODM, as the case may be, for any reason, including, without limitation, the consummation of the transactions contemplated hereby.
