Nothing contained herein (i) & (ii) shall apply if written objections with reasons from BCCL have been received by the Afiliate during the said thirty days’ notice period.
The Afiliate will not make statements or imply that EPA endorses the purchase or sale of the Affiliate’s products and services or the views of the organization.
Neither party may assign any part of this Agreement without the written consent of the other, except to an Afiliate where: (a) the assignee has agreed in writing to be bound by the terms of this Agreement; (b) the assigning party remains liable for obligations under the Agreement if the assignee defaults on them; and (c) the assigning party has notified the other party of the assignment.
Contributing Non-Debtor Afiliate means the Non-Debtor Affiliates listed on Exhibit L hereto who are reasonably expected to contribute assets to or release Claims against the Debtors or RCM pursuant to the provisions of this Plan, including, but not limited to, section 5.22.
The Kirin Option is exercisable by Kirin, with respect to any particular Dendreon Product in clinical development by Dendreon or its Afiliate, at any time following the commencement of such clinical development, but no later than one hundred ten (110) days after Dendreon delivers to Kirin a report on early Phase II clinical trial data for such Dendreon Product (the "Kirin Option Period").
