Payment of Employment Taxes. Any distribution under this Agreement shall be reduced by the amount of any taxes required to be withheld from the distribution.

Payment of Employment Taxes. The Management Company may accelerate payment of all or any portion of the Applicable Amounts to pay: (A) the Federal Insurance Contributions Act (“FICA”) tax imposed under Code Sections 3101 and 3121(a) and (v)(2) on deferred Management Fee Participation amounts (the “FICA Amount”); and/or (B) income tax at source on wages imposed under Code Section 3401 or the corresponding withholding provisions of applicable state, local, or foreign tax laws as a result of the payment of the FICA Amount, and the additional income tax at source on wages attributable to the pyramiding Code Section 3401 wages and taxes; provided, however, that the total payment under this subsection c(III) shall not exceed the aggregate of the FICA Amount and the income tax withholding related to such FICA Amount.
Payment of Employment Taxes. Agent shall, on behalf of the Association, execute and file all tax and other returns and do and perform all acts required of the Association as an employer under the Federal Insurance Contributions Act, the Federal Unemployment Tax Act, all applicable federal, state, and local income tax laws, and all other laws, regulations, and/or ordinances governing employment and payment of wages. Upon request, the Board shall promptly execute and deliver to Agent all necessary powers of attorney, notices of appointment, and the like. The Association shall supply all funds to pay any taxes.
Payment of Employment Taxes. Any and all Benefits payable under the Agreement shall be reduced by the amount of the Employer’s tax withholding obligations under Sections 3101 and 3401 of Code. Payments due under the Agreement may be accelerated to pay, where applicable, such tax withholding obligations; however any such accelerated payments shall not exceed the amount of the such tax withholding obligations and shall be made as a payment directly to taxing authorities pursuant to the applicable withholding provisions. Any payments pursuant to this Section 3.3 shall reduce the Benefits otherwise payable to the Officer pursuant to the Agreement.”
Payment of Employment Taxes. The Plan will permit the acceleration of the time or schedule of a payment to pay the Federal Insurance Contributions Act (FICA) tax imposed on Compensation deferred by a Participant and Plan Sponsor Contributions under the Plan (the FICA amount). Additionally, the Plan will permit the acceleration of the time or schedule of a payment to pay the income tax on wages imposed on the FICA amount, and to pay the additional income tax on wages attributable to the pyramiding wages and taxes. However, the total payment under this acceleration provision will not exceed the aggregate of the FICA amount, and the income tax withholding related to such FICA amount.

  • Employment Taxes All payments made pursuant to this Agreement will be subject to withholding of applicable income and employment taxes.

  • Employment Compensation Schedule 3.16 contains a true and correct list of all employees to whom Company is paying compensation, including bonuses and incentives, at an annual rate in excess of Fifteen Thousand Dollars ($15,000) for services rendered or otherwise; and in the case of salaried employees such list identifies the current annual rate of compensation for each employee and in the case of hourly or commission employees identifies certain reasonable ranges of rates and the number of employees falling within each such range.
