Performance Unit Value. Each Performance Unit will have an initial notional value of five dollars ($5.00) per Performance Unit. At the applicable Vesting Date under Section 3(a) or the payment event under Section 3(b), the notional value of each Performance Unit shall be adjusted by the Committee to reflect the appreciation (if any) of the Common Stock (the “Adjusted Notional Value”), determined as follows: $5.00 + ($5.00 x [appreciation of the Common Stock above $ 24.50/share, expressed as a percentage]) = Adjusted Notional Value.

Performance Unit Value. The value of each Performance Unit will have an initial notional value equal to the simple average of the closing prices of the Common Stock for the period of twenty business days ending on the day immediately preceding the Grant Date (the “Initial Notional Value”). At the applicable Vesting Date under Section 3(a) or the payment event under Section 3(b), the notional value of each Performance Unit will equal the simple average of the closing prices of the Common Stock for the period of twenty business days ending on the day immediately preceding the Vesting Date under Section 3(a) or the payment event under Section 3(b) (the “Adjusted Notional Value”). The Initial Notional Value of the Performance Units is $22.48 per share.
Performance Unit Value. If the Company fails to achieve the Performance Target described in Section 4, the value of a Performance Unit for this Award shall be $0. If the Company achieves the Performance Target described in Section 4, the value of a Performance Unit for this Award shall be a value not less than $0 and not more than , as determined in the sole discretion of the Committee following the Performance Period.
Performance Unit Value. Each Performance Unit shall have a maximum dollar value established by the Committee at the time of the Award. Performance Units earned will be determined by the Committee in respect of a Performance Period in relation to the degree of attainment of Performance Goals. The measure of a Performance Unit may, in the discretion of the Committee, be equal to the Fair Market Value of one share of Vlasic Stock.

  • Performance Units Subject to the limitations set forth in paragraph (c) hereof, the Committee may in its discretion grant Performance Units to any Eligible Person and shall evidence such grant in an Award Agreement that is delivered to the Participant which sets forth the terms and conditions of the Award.

  • Performance Share Units The Committee may, in its discretion, grant to Executive performance share units subject to performance vesting conditions (collectively, the “Performance Units”), which shall be subject to restrictions on their sale as set forth in the Plan and an associated Performance Unit Grant Letter.
