Assignment of Lease Agreement. The landlord under the Lease Agreement shall have agreed to an assignment of the Lease Agreement to the Purchaser. Purchaser and Rick’s shall cooperate in any reasonable manner requested by DI Food to assist DI Food in procuring said assignment from Landlord.
Assignment of Lease Agreement shall be as defined in the recitals.

Assignment of Lease Agreement. The Corporation hereby acknowledges that all Lease Payments and its rights, title and interest in this Lease Schedule and, with certain exceptions, the Lease Agreement have been assigned to the Trustee pursuant to the Assignment of Lease Agreement, dated as of June 1, 2003, as supplemented and amended pursuant to a Second Amendment to Assignment of Lease Agreement between the Corporation and the Trustee, dated as of March 1, 2009, and that all of its right, title and interest in the Ground Lease Agreement, dated as of March 1, 2009, between the Board and the Corporation (the "Ground Lease"), have been assigned to the Trustee pursuant to the Assignment of Ground Lease, dated as of March 1, 2009, from the Corporation to the Trustee.
Assignment of Lease Agreement. The specific agreement creating a first lien on and pledge of the Co-op Shares and the appurtenant Proprietary Lease securing a Co-op Loan.
Assignment of Lease Agreement. Tenant, successors, heirs, executors or administrators shall not assign this agreement, or underlet or under-lease the Premises, or any part thereof, or make any alterations on the Premises, without the Landlord's consent in writing. Tenant shall have the right with Landlord's consent, to assign this Lease Agreement to a corporation with which Tenant may merge or consolidate, to any subsidiary of Tenant, to any corporation under common control with Tenant, or to a purchaser of substantially all of Tenant's assets. Such consent shall not be unreasonably withheld or delayed.

Assignment of Lease Agreement. Pursuant to the Assignment Agreement, the Authority has transferred in trust and assigns to the Trustee, for the benefit of the Owners from time to time of the Bonds, all of the Lease Payments and all of the right, title and interest of the Authority in the Lease Agreement (other than its rights to indemnification, to give approvals and consents thereunder, and to payment or reimbursement of its costs and expenses), including without limitation all of the Additional Payments under the Lease Agreement and any and all of the other rights of the Authority under the Lease Agreement as may be necessary to enforce payment of such Lease Payments and Additional Payments when due or otherwise to protect the interest of the Owners of the Bonds, including its leasehold title to the Property leased to the City pursuant to the Lease Agreement. The Trustee accepts such assignments. The Trustee shall be entitled to and shall receive all of the Lease Payments and Additional Payments, and any Lease Payments and Additional Payments collected or received by the Authority shall be deemed to be held, and to have been collected or received, by the Authority as the agent of the Trustee and shall forthwith be paid by the Authority to the Trustee. The City hereby consents to such assignment.
