Grant Under Plan. This option is granted pursuant to and is governed by the Company’s 2003 Stock Option and Incentive Plan (the “Plan”) and, unless the context otherwise requires, terms used herein shall have the same meaning as in the Plan.
Grant Under Plan. This Restricted Stock Unit Agreement (the “Agreement”) is made pursuant to and is governed by the Company’s Second Amended and Restated 2007 Equity Incentive Plan, as amended and in effect from time to time (the “Plan”), and, unless the context otherwise requires or except as defined herein, capitalized terms used herein shall have the same meanings as in the Plan.

The Plan and a prospectus describing the Plan (the “Prospectus”) have been delivered to you. The Plan is also available upon request (and publicly filed), and its terms and provisions are incorporated herein by reference. When used herein, the terms which are defined in the Plan shall have the meanings given to them in the Plan, as modified herein (if applicable). This Option is subject to the terms and conditions of the Plan and this Award Agreement. You acknowledge having read the Plan and the Prospectus and agree to be bound by all the terms and conditions of the Plan and this Award Agreement.
Grant Under Plan. This stock purchase is made pursuant to and is governed by the Company’s 1997 Stock Plan, as amended (as the same may be amended and/or restated from time to time, the “Plan”) and, unless the context otherwise requires, terms used herein shall have the same meanings as in the Plan. The Shares will be evidenced by this Agreement and the Stockholder will not receive a certificate for the Shares. Initially, the Stockholders will have his or her ownership of the Shares registered only in book-entry form in the recording of the transfer agent for the Company’s Common Stock. Book-entry registration refers to a method of recording stock ownership in which no shares are issued to stockholders. After any date on which the Shares have become Vested Shares, the Stockholder may obtain, upon request from the Company to the transfer agent for the Company’s Common Stock, a certificate for the Vested Shares registered in his or her name in book-entry form.

Grant Under Plan. This option is granted pursuant to and is governed by the Corporation's 2000 Non-Qualified Stock Option Plan (the "Plan") and, unless the context otherwise requires, terms used herein shall have the same meaning as in the Plan. Determinations made in connection with this option pursuant to the Plan shall be governed by the Plan as it exists on this date. In the event of any conflict between this Agreement and the provisions of the Plan, the Plan shall govern.
Grant Under Plan. This Award is made pursuant to and is governed by the Company’s 2015 Inducement Equity Plan (the “Plan”) and, unless the context otherwise requires, terms used herein shall have the same meaning as in the Plan. This Award does not set forth all of the terms and conditions of the Plan, which are incorporated herein by reference. The Committee administers the Plan and its determinations regarding the operation of the Plan are final and binding.
