Voluntary Termination by Executive with Transition. The Executive may terminate this Agreement for any reason with Transition. For the purposes of this Agreement, “Transition” shall mean that the Executive shall (i) provide the Company with at least ninety (90) days’ advance written notice of the Executive’s termination date, (ii) continue to work the Executive’s normal hours and continue to perform the Executive’s normal duties during the 90-day notice period, (iii) provide written guidelines for the position, status reports on current activities and/or any other written materials that the Company may request at least thirty (30) days prior to the end of the 90-day notice period, and (iv) assist the Company’s management during the 90-day notice period to identify, hire and transition a successor to the Executive’s position with the objective of achieving a smooth transition with minimal disruption to the Company; provided, that if a successor has not been hired by the end of the 90-day notice period, the Executive shall have no further obligations under this Agreement.
Voluntary Termination by Executive with Transition. In the event that the Executive voluntarily terminates her employment with the Company, and the Executive performs the Transition duties as provided in Section 4.1(e), then upon the Executive’s termination date, the Executive shall be eligible to receive, in addition to any other benefits to which the Executive may be entitled under Section 4.2(a), a severance payment equal to one (1) year’s salary at her then current rate of base salary (which payment shall not include, but shall be in addition to, base salary that the Executive receives during the 90-day notice period). This severance payment shall be payable in a lump sum cash payment on the date six (6) months following the date of the Executive’s termination, or earlier if allowed by law.

  • Termination by Executive with Good Reason Executive may terminate Executive’s employment with Good Reason by providing the Company fifteen (15) days’ written notice setting forth in reasonable specificity the event that constitutes Good Reason, which written notice, to be effective, must be provided to the Company within sixty (60) days of the occurrence of such event. During such fifteen (15) day notice period, the Company shall have a cure right (if curable), and if not cured within such period, Executive’s termination will be effective upon the date immediately following the expiration of the fifteen (15) day notice period, and Executive shall be entitled to the same payments and benefits as provided in Section 8(d) above for a termination without Cause, it being agreed that Executive’s right to any such payments and benefits shall be subject to the same terms and conditions as described in Section 8(d) above. Following termination of Executive’s employment by Executive with Good Reason, except as set forth in this Section 8(e), Executive shall have no further rights to any compensation or any other benefits under this Agreement.

  • Voluntary Termination by Executive The Executive may voluntarily terminate his employment for any reason and such termination shall take effect 30 days after the receipt by Company of the Notice of Termination. Upon the effective date of such termination, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Cause.

  • Termination by Executive Without Good Reason The Executive may terminate his employment without Good Reason by providing the Company thirty (30) days’ written notice of such termination. In the event of a termination of employment by the Executive under this Section 6(g), the Executive shall be entitled only to the Accrued Obligations.   • Termination by Executive other than for Good Reason Executive’s employment may be terminated by Executive without further liability on the part of Executive (other than with respect to those provisions of this Agreement expressly surviving such termination) by written notice to the Board of Directors at least sixty (60) days prior to such termination; provided, however, the Company may waive the notice period and accelerate the termination date without converting the Termination by Executive into a Termination by the Company.

  • Resignation by Executive without Good Reason The Executive may voluntarily terminate employment with the Company during the term of this Agreement, upon at least 60 days’ prior written notice to the Board of Directors, in which case the Executive shall receive only his compensation, vested rights, and Executive benefits up to the date of his termination of employment.
