Global Release of Claims. Executive, on behalf of himself, his heirs, executors, successors and assigns, irrevocably and unconditionally releases, waives, and forever discharges the HCC Releasees from any and all claims, demands, actions, causes of action, costs, fees, attorneys’ fees, and all liability whatsoever, whether known or unknown, fixed or contingent, which Executive has, had, or may have against any of the HCC Releasees including, without limitation, the agreements he executed with HCC as referenced in Agreement Recital paragraphs (a)-(t), and his acts or omissions that resulted in Executive’s separation from employment with HCC, from the beginning of time and up to and including the date of execution of this Agreement. This Agreement includes, without limitation, claims at law or equity or sounding in contract (express or implied) or tort, claims arising under any federal, state, or local laws of any jurisdiction that prohibit age, sex, race, national origin, color, disability, religion, veteran, military status, sexual orientation, or any other form of discrimination, harassment, or retaliation (including, without limitation, the Age Discrimination in Employment Act, the Older Workers Benefit Protection Act, the Americans with Disabilities Act, Title VII of the 1964 Civil Rights Act, the Civil Rights Act of 1991, 42 U.S.C. § 1981, the Rehabilitation Act, the Family and Medical Leave Act, the Sxxxxxxx-Xxxxx Act, the Employee Polygraph Protection Act, the Financial Institutions Reform, Recovery and Enforcement Act (or any other employment-related banking statute or regulation), the Uniformed Services Employment and Reemployment Rights Act of 1994, the Texas Commission on Human Rights Act, any federal, state, local or municipal whistleblower protection or anti-retaliation statute or ordinance, or any other federal, state, local, or municipal laws of any jurisdiction), claims arising under the Employee Retirement Income Security Act, or any other statutory or common law claims related to Executive’s employment or separation from employment with HCC, the agreements he executed with HCC as referenced in Recital paragraphs (a)-(t), and his acts or omissions that resulted in Executive’s separation from employment with HCC. Notwithstanding the foregoing, the provisions of this paragraph 6 shall not apply to the Indemnification Agreement, the HCC Nonqualified Deferred Compensation Plan for Sxxxxxx X. This document in no way affects my ability to bring a charge of discrimination with or participate in an investigation conducted by the Equal Employment Opportunity Commission.

Global Release of Claims. (a) In consideration of the severance payment described in Paragraph 4(b) of this Agreement, and other good and valuable consideration within this Agreement, Executive, on behalf of himself, his heirs, executors, successors and assigns, irrevocably and unconditionally releases, waives, and forever discharges the Company and the Bank, their respective officers, directors, shareholders and employees, the law firms of Xxxxxxxxx & Xxxxxxxx LLP and Xxxxx Xxxxx LLP and their respective partners, associates and employees, the accounting firms Deloitte & Touche, Ernst & Young and Xxxxxxxx, Xxxxxxxx & Xxxxxx, P.C., and their respective partners, associates and employees, and each of their respective heirs, executors, administrators, legal representatives, successors and assigns (the “Franklin Parties”) from any and all claims, demands, actions, causes of action, costs, fees, attorneys’ fees, and all liability whatsoever, whether known or unknown, fixed or contingent, which Executive has, had, or may have against any of the Franklin Parties including, without limitation, acts or omissions that resulted in Executive’s separation from employment with the Company, based on facts occurring from the beginning of time and up to and including the date of execution of this Agreement, including, without limitation, any claims under any local, municipal, state or federal law including, without limitation, claims under Title VII of the Civil Rights Act of 1964, the Americans with Disabilities Act of 1990, the Age Discrimination in Employment Act of 1967, the Older Workers Benefit Protection Act, the Texas Commission on Human Rights Act, claims of harassment, discrimination or wrongful termination, and any other statutory, tort, or common law claims. Executive represents and warrants to the Company and the Bank that Executive is the sole owner of, and he has not sold, assigned or transferred (with or without consideration) to any person any of the claims, demands, actions, causes of action, costs, fees, attorney’s fees or liabilities being released hereby.
Global Release of Claims. On the Termination Date, Executive shall execute and deliver to the Company the Executive Waiver and Release attached hereto as Appendix B, and the Company shall execute and deliver to Executive the Company Waiver and Release attached hereto as Appendix E (each, the “Waiver and Release”). In giving the releases set forth in the Waiver and Release, which includes claims that may be unknown at present, each party acknowledges that it has read and understands Section 1542 of the California Civil Code which reads as follows: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.” Notwithstanding the provisions of Section 1542 of the California Civil Code, each party expressly waives and relinquishes all rights and benefits under that section and any law of any other jurisdiction of similar effect with respect to its release of any unknown or unsuspected claims that such party may have against the other. The parties acknowledge and agree that the inclusion of a release of “unknown” claims in the Waiver and Release was separately bargained for and was a key element of this Agreement.
