The Financial Statements, including the related schedules and notes thereto (if any), have been prepared in accordance with generally accepted accounting principles as set forth in the opinions and pronouncements of the Accounting Principles Board of American Institute of Certified Public Accountants and statements and pronouncements of the Financial Accounting Standards Board as in effect on the date of the Closing, applied on a consistent basis (except for changes concurred in by the Company's independent public accountants) unless otherwise expressly stated therein.
