Aggregate Common Stock Consideration. If the number of shares represented by the aggregate Common Stock Election Shares is equal to the Aggregate Common Stock Consideration, then subsections (e)(i) and (ii) shall not apply, and all Common Stock Election shares shall be converted into the right to receive the Common Stock Consideration and all Cash Election Shares and all No-Election Shares shall be converted into the right to receive the Cash Consideration.
