Liability Insurance from Indemnification Agreement

THIS INDEMNIFICATION AGREEMENT is made and entered into as of the 27th day of September, 2016 by and between MACK-CALI REALTY CORPORATION, a Maryland corporation (the Company), and REBECCA ROBERTSON, an individual having an address at 18 East 95th Street, New York, NY 10128 (Indemnitee).

Liability Insurance. The Company shall maintain an insurance policy or policies providing directors and officers liability insurance in an amount not less than $1,000,000 and on customary terms. Indemnitee will be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

Liability Insurance from Lease Agreement

THIS LEASE AGREEMENT, made this 28 day of Aug, 2015 by and between the CITY OF NEODESHA, KANSAS, a municipal corporation, located in Wilson County, Kansas, hereinafter called "Lessor"; and Ag Eagle, hereinafter called "Lessee".

Liability Insurance. Lessor shall acquire and maintain at Lessor's own expense a fire and casualty policy on the building. Lessee shall keep and maintain such fire and other casualty insurance as Lessee deems appropriate to protect Lessee's interest in leased premises and Lessee's property. Lessee at its own expense, agrees to maintain and keep in force for the mutual benefit of Lessor and Lessee, respectively, general public liability insurance against claims for personal injury, death, or property damage occurring in, on, or about the leased premises to afford protection to the limit of not less than $1,000,000 in respect to injury to or death of any one person, and to the limit of not less than $1,000,000 in respect to any one occurrence, and to the limit of $1,000,000 in respect to property damage. Lessee agrees to deliver to Lessor certificates of said insurance policies and of renewals thereof from time to time during the term of this Lease. Such policies may be in the form of umbrella policies which cover properties in addition to the leased premises. The Lessor shall be named an additional insured and such insurance may not be cancelled without thirty (30) days prior notice to Lessor.

LIABILITY INSURANCE from Lease Agreement

This Lease, made this 20th day of March, 2014 between CROSSROADS ASSOCIATES, a California General Partnership, and CLOCKTOWER ASSOCIATES, a California General Partnership, collectively hereinafter called Landlord, and COUPA SOFTWARE INCORPORATED, a Delaware corporation, hereinafter called Tenant.

LIABILITY INSURANCE. Tenant, at Tenants expense, agrees to keep in force during the term of this Lease a policy of commercial general liability insurance with combined limits in the amount of $1,000,000 per occurrence/2,000,000 aggregate for injuries to or death of persons and/or property damage occurring in, on or about the Premises or the Complex. Certificates of insurance evidencing this coverage shall be furnished to Landlord, shall name Landlord as additional insured, and shall insure any liability of Landlord, contingent or otherwise, as respects acts or omissions of Tenant, its agents, employees or invitees or otherwise by any conduct or transactions of any of said persons in or about or concerning the Premises, including any failure of Tenant to observe or perform any of its obligations hereunder; shall be issued by an insurance company admitted to transact business in the State of California; and the insurance effected thereby shall not be canceled, except upon thirty (30) days prior written notice to Landlord. If, during the term of this Lease, in the considered opinion of Landlords Lender or insurance advisor, the amount of insurance described in this paragraph 13 is not adequate, Tenant agrees to increase said coverage to such reasonable amount as Landlords Lender or insurance advisor shall reasonably deem adequate.
