Algemene voorwaarden

Artikel 1 – Begrippen

1. In deze algemene voorwaarden wordt begrepen onder

2. Gebruiker : de gebruiker van deze Algemene Voorwaarden, die deze Algemene Voorwaarden van toepassing heeft verklaard op de betreffende overeenkomst(en);

3. Wederpartij : de wederpartij of wederpartijen bij de overeenkomst, waarop deze Algemene Voorwaarden van toepassing zijn verklaard.

Artikel 2 – Toepasselijkheid Algemene Voorwaarden

1. Deze Algemene Voorwaarden zijn van toepassing op all e aanbiedingen en offertes van, overeenkomsten met, leveringen en diensten van Gebruiker, aangaande de rechtsverhouding(en) met betrekking tot verkoop van goederen en levering van diensten, alle andere overeenkomsten van soortgelijke aard en strekking en voorts op alle overeenkomsten waarop deze Algemene Voorwaarden door Gebruiker op van toepassing zijn verklaard.

2. Afwijkende bedingen, afspraken of regelingen gelden slechts indien en voor zover deze door Gebruiker uitdrukkelijk schriftelijk zijn bevestigd.

Artikel 3 – Aanbiedingen

1. Alle offertes zijn vrijblijvend en geschieden onder voorbehoud van tussentijdse wijzigingen. Indien op de offerte geen geldigheidsduur is aangegeven, dan vervalt het aanbod in de offerte 60 dagen na dagtekening van de offerte. De offertes zijn gebaseerd op de door Wederpartij, bij de eventuele aanvragen verstrekte gegevens, schetsen, maatvoeringen, foto’s enz., van de juistheid waarvan de gebruiker mag uitgaan.

2. Door de Gebruiker verstrekte afbeeldingen en tekeningen blijven te allen tijde zijn eigendom en moeten hem op verzoek direct worden teruggegeven, bij gebreke waarvan de houder de door de eigenaar te bepalen waarde ervan is verschuldigd. Deze bepaling geldt eveneens, wanneer de ▇▇▇▇▇▇▇▇▇ heeft te kennen gegeven, dat hij teruggave wenst.

3. De opgegeven prijzen zijn in Euro gesteld en gelden voor levering af werkplaats resp. fabriek. De opgegeven prijzen zijn voor de particuliere markt gesteld in Euro inclusief omzetbelasting en voor de zakelijke markt in Euro exclusief omzetbelasting.

Artikel 4 – Orders

1. Alle overeenkomsten worden door Gebruiker aangegaan onder de opschortende voorwaarde, dat uit door hem in te winnen informaties blijkt, dat de Wederpartij voldoende kredietwaardig is.

2. Indien niet binnen 10 werkdagen na het aangaan der overeenkomst door ▇▇▇▇▇▇▇▇▇ schriftelijk aan de Wederpartij wordt medegedeeld, dat de overeenkomst niet kan worden uitgevoerd wegens onvoldoende kredietwaardigheid van de Wederpartij, wordt de overeenkomst definitief, met dien verstande, dat de Gebruiker te allen tijde gebruik mag maken van zijn in het derde lid omschreven recht.

3. Indien een Wederpartij tegenover Gebruiker in verzuim is bij de afwikkeling van enige overeenkomst, is Gebruiker te allen tijde gerechtigd, ook nadat hij een overeenkomst geheel

of ten dele in uitvoering heeft genomen, alvorens tot (verdere) uitvoering van de overeenkomst over te gaan, van Wederpartij te eisen, dat hij voldoende zekerheid stelt dat hij aan zijn betalingsverplichtingen zal voldoen.

4. Wijzigingen en annuleringen van gedane bestellingen door ▇▇▇▇▇▇▇▇▇▇▇ zijn pas van kracht na uitdrukkelijke schriftelijke akkoordverklaring van de zijde van de Gebruiker, behoudens het daaromtrent bepaalde in artikel 7.

5. Indien Gebruiker een schriftelijke orderbevestiging heeft gegeven, waarvan de inhoud afwijkt van hetgeen door Wederpartij schriftelijk is besteld of waarvan de levertijd verschilt van de door Wederpartij gewenste, dan dient Gebruiker uitdrukkelijk in de orderbevestiging of bij afzonderlijk bericht op deze afwijkingen te wijzen. Indien Gebruiker hierop niet binnen 10 werkdagen schriftelijk reageert, wordt de overeenkomst geacht te zijn tot stand gekomen.

Artikel 5 – Verpakking, verzending en levering

1. De Wederpartij verbindt zich jegens de Gebruiker de zaken behoorlijk aan te leveren en op zodanige wijze te beveiligen, dat zij bij normaal vervoer hun bestemming in goede staat bereiken. Tevens is de Wederpartij verantwoordelijk voor deugdelijk transport van de te bewerken zaken.

2. De Gebruiker zal de bewerkte zaken verpakken hetzij in de oorspronkelijke verpakking, hetzij in de nieuwe verpakking, zulks ter beoordeling van de Gebruiker, zodanig dat de bewerkte zaken bij normaal vervoer hun bestemming in goede staat kunnen bereiken. De nieuwe verpakking wordt tegen kostprijs berekend en niet teruggenomen.

3. Indien door de Gebruiker voor de verpakking en/of het transport pallets, pakkisten, kratten etc. ter beschikking zijn gesteld of door een derde – al dan niet tegen voldoening van een statiegeld of een waarborgsom – ter beschikking heeft doen stellen, is de Wederpartij verplicht (tenzij het om eenmalige verpakking gaat) deze pallets etc, terug te zenden naar het door de Gebruiker opgegeven adres, bij gebreke waarvan de Wederpartij aan de Gebruiker volledig schadevergoeding is verschuldigd.

4. De opgave van de levertijd geschiedt bij benadering. Gebruiker verplicht zich om zich zoveel mogelijk aan de opgegeven levertijd te houden, maar is niet aansprakelijk voor de gevolgen van overschrijding, die hij redelijkerwijs niet heeft kunnen voorkomen. Zodanige overschrijding verplicht Gebruiker niet tot enige vergoeding, noch geeft zij Wederpartij het recht de overeenkomst te ontbinden.

5. Bij overschrijding van de in lid 4 van dit artikel bedoelde vermoedelijke levertijd, wordt Gebruiker een nadere termijn gegund om alsnog te leveren. Deze nadere termijn is gelijk aan de oorspronkelijke vermoedelijke levertijd met een maximum van een maand.

6. Indien de goederen worden verzonden met vervoermiddelen van Gebruiker of door in zijn opdracht werkende expediteurs, dan geschiedt de levering door aanbieding der zaken gelijkvloers aan het magazijn van Wederpartij. De zaken reizen in dat geval tot het moment van levering voor risico van Gebruiker.

7. Alle zaken worden voor rekening van Wederpartij vervoerd, tenzij de vrachtkosten zijn ingecalculeerd in de prijs.

8. Wanneer ▇▇▇▇▇▇▇▇▇▇▇ weigert de hem correct en onbeschadigd aangeboden goederen terstond in ontvangst te nemen, zijn daaruit voortvloeiende kosten, waaronder onder meer, doch niet uitsluitend begrepen vrachtkosten en kosten van opslag, voor zijn rekening

Artikel 6 – Eigendomsvoorbehoud

1. Geleverde goederen blijven uitsluitend in eigendom van ▇▇▇▇▇▇▇▇▇, zolang Wederpartij niet heeft voldaan aan de vorderingen:

A. ter zake van door ▇▇▇▇▇▇▇▇▇ aan Wederpartij krachtens deze of enige andere overeenkomst geleverde of nog te leveren zaken, of

B. ter zake van krachtens voorgenoemde overeenkomsten ten behoeve van Wederpartij verrichte of nog te verrichten diensten, of

C. voortvloeiende uit het tekortschieten in de nakoming van voorgenoemde verbintenissen, waaronder onder meer, doch niet uitsluitend begrepen, rente en buitengerechtelijke en gerechtelijke kosten.

Het onderhavige eigendomsvoorbehoud gaat aldus niet teniet indien er op enig moment geen enkele vordering van Gebruiker onder eigendomsvoorbehoud op Wederpartij openstaat, maar ziet ook op toekomstige vorderingen.

2. Ter zake van voorgenoemde zaken verkrijgt ▇▇▇▇▇▇▇▇▇ tevens het (mede) eigendomsrecht, tot zekerheid van alle openstaande en toekomstige (openstaande) vorderingen jegens Wederpartij, alsmede voor wat betreft de zaken waarop het eigendomsrecht van ▇▇▇▇▇▇▇▇▇ verloren gaat door be-/verwerking, natrekking, zaakvorming of op andere wijze. Zodra Wederpartij één of meer van zijn verplichtingen jegens Gebruiker niet nakomt, worden alle vorderingen van Wederpartij terstond en ten volle opeisbaar en is Gebruiker bevoegd,

zonder enige ingebrekestelling of rechterlijke tussenkomst, de uit zijn eigendomsvoorbehoud voortvloeiende rechten te effectueren.

3. Wederpartij is vóór bedoelde eigendomsovergang niet bevoegd de geleverde zaken anders dan overeenkomstig zijn normale bedrijf en de normale bestemming van de zaken te verkopen, af te leveren of anderszins te vervreemden of te bezwaren. Deze bevoegdheid vervalt op het moment dat aan Wederpartij (voorlopige) surséance van betaling wordt verleend of dat hij in staat van faillissement wordt verklaard. Wederpartij mag de onder eigendomsvoorbehoud vallende zaak in geen geval laten strekken tot zekerheid van vorderingen aan derden.

4. Gebruiker heeft vóór bedoelde eigendomsovergang te allen tijde toegang tot de zaken welke zijn eigendom zijn, waar deze zich ook bevinden. Wederpartij verbindt zich ertoe Gebruiker

te allen tijde onbelemmerde door- en ingang te verschaffen tot en in de gebouwen waarin of waarbij de zaken zich bevinden. Gebruiker heeft geen voorafgaande toestemming nodig om zich toegang in de betreffende gebouwen en/of op de erven te verschaffen. Het voorgaande geldt ook ten aanzien van derden die de betreffende zaken voor Wederpartij houden.

5. Bij overtreding van het in dit artikel bepaalde wordt Wederpartij een boete verschuldigd van 100% van de ten tijde van de overtreding openstaande vordering, onverminderd het

bepaalde in artikel 10. Het is Wederpartij niet toegestaan kosten in rekening te brengen bij Gebruiker ter zake van het effectueren van de rechten in dit artikel. Ook de kosten als laatstgenoemd die door anderen dan Wederpartij worden gemaakt ter effectuering van deze rechten komen voor rekening en risico van Wederpartij en mogen niet bij Gebruiker in rekening worden gebracht.

Artikel 7 – Reclames

1. Eventuele reclames dienen binnen 1 (één) maand na levering der zaken of verrichten van diensten uitdrukkelijk schriftelijk ter kennis van ▇▇▇▇▇▇▇▇▇ te worden gebracht. Op straffe van niet-ontvankelijkheid en verlies van rechten verband houdende met de reclame, dient de

reclame echter terstond nadat de omstandigheden die tot de reclame aanleiding geven, ter kennis van Wederpartij zijn gekomen, schriftelijk te worden ingesteld. Iedere levering van

goederen en diensten is te beschouwen als een afzonderlijke transactie, d.w.z. dat reclames, die betrekking hebben op een bepaalde levering, geen invloed uitoefenen op voorafgaande of volgende leveranties.

2. Op straffe van niet-ontvankelijkheid van eventuele reclames en verlies van rechten verband houdende met de reclame dient Wederpartij de zaken ▇▇▇▇▇▇▇▇ na ontvangst op zichtbare gebreken te controleren.

3. Reclames die door hun aard of naar usance niet binnen de gestelde termijn van 1 (één) jaar na levering der zaken kunnen worden ingesteld, kunnen met inachtneming van het in lid 1 en 2 bepaalde alsnog worden ingesteld.

4. Wederpartij blijft gehouden de betaling binnen de gestelde betalingstermijn te voldoen. Reclames of andere gestelde toerekenbare tekortkomingen doen geen afbreuk aan deze verplichting.

5. Ingeval van een beweerde toerekenbare tekortkoming, of in andere gevallen, kunnen de zaken door Wederpartij slechts geretourneerd worden nadat ▇▇▇▇▇▇▇▇▇ zich daarmede schriftelijk akkoord heeft verklaard. Retourzendingen zonder een dergelijke schriftelijke akkoordverklaring laten de verplichting tot betaling onverlet, terwijl de daaruit voortvloeiende kosten voor rekening van Wederpartij zijn.

6. Door of in opdracht van ▇▇▇▇▇▇▇▇▇▇▇ verrichte reparaties aan geleverde goederen, van welke aard ook en uit welke oorzaak ook verricht, worden niet door ▇▇▇▇▇▇▇▇▇ vergoed, tenzij deze zich vooraf schriftelijk met het verrichten van die reparaties heeft akkoord verklaard.

Artikel 8 – Garantie

1. Indien Gebruiker en Wederpartij garantie(s) overeenkomen, gelden deze garantie(s) alleen op de door ▇▇▇▇▇▇▇▇▇, in opdracht van de Wederpartij, opgedragen werk.

2. De Gebruiker staat in voor de gebruikelijke normale kwaliteit en deugdelijkheid van het geleverde; de feitelijke levensduur ervan kan echter nimmer worden gegarandeerd.

3. Er geldt geen garantie ten aanzien van verkleuring en ondergeschikte kleurafwijkingen.

4. De Gebruiker garandeert niet en wordt nimmer geacht gegarandeerd te hebben dat de gespoten zaken geschikt zijn voor het doel waarvoor de wederpartij deze wenst te gebruiken of gebruikt, tenzij de gebruiker dit uitdrukkelijk schriftelijk aan de wederpartij heeft bevestigd.

Artikel 9 – Niet-toerekenbare tekortkoming

1. Wanneer ▇▇▇▇▇▇▇▇▇ door mobilisatie, oorlogsgevaar, oorlog, werkstaking van welke aard dan ook, uitsluiting of door een niet-toerekenbare tekortkoming van andere aard in de uitvoering der overeenkomst belemmerd wordt, is hij niet gehouden aan enige termijn en tevens bevoegd de door hem gesloten overeenkomst geheel of ten dele niet uit te voeren, zonder dat enige gerechtelijke maatregel nodig zal zijn. Gebruiker dient van het optreden van de omstandigheden van de niet-toerekenbare tekortkoming zo spoedig mogelijk kennis te geven aan Wederpartij.

Artikel 10 – Betalingen

1. Alle betalingen dienen zonder enige verrekening, binnen 8 dagen na de factuurdatum door ▇▇▇▇▇▇▇▇▇ te zijn ontvangen. Deze termijn geldt als een fatale termijn.

2. Wederpartij is bij het uitblijven van een volledige betaling na laatstgenoemde termijn in verzuim. Van het ogenblik van verzuim is de Wederpartij een rentevergoeding van 5% van het factuurbedrag voor iedere kalendermaand verschuldigd of gedeelte van de kalendermaand, waarmede de vervaldag wordt overschreden, met een maximum van 10% per jaar.

3. Mocht in rechte blijken dat de rentevergoeding als genoemd in lid 2 van dit artikel onredelijk bezwarend is, dan geldt de wettelijke rente.

4. Ingeval van niet-betaling van enig opvorderbaar bedrag, van schorsing van betalingen, van aanvraag van surséance van betaling, van faillissement of liquidatie van de zaken van de Wederpartij, heeft Gebruiker het recht de overeenkomst, of dat gedeelte ervan, dat alsdan nog niet is uitgevoerd, zonder meer en zonder dat enige rechterlijke tussenkomst vereist is, te ontbinden, onverminderd zijn recht op vergoeding van eventueel verlies, dat door een en ander, voor hem mocht ontstaan. In deze gevallen is iedere vordering, welke Gebruiker ten laste van Wederpartij heeft, ineens en terstond opeisbaar.

5. Wederpartij is door het enkele sluiten van de overeenkomst verplicht tot betaling van alle gerechtelijke en buitengerechtelijke kosten, waaronder onder meer, doch niet uitsluitend begrepen, de kosten van juridische bijstand en advies voorafgaande aan de procedure, porti van brieven van ▇▇▇▇▇▇▇▇▇(en), de kosten in rekening gebracht door hen die door ▇▇▇▇▇▇▇▇▇ met de invordering worden belast, een en ander in verband met het niet nakomen van Wederpartij van enige verplichting jegens Gebruiker, ongeacht de in lid 2 en 3 van dit artikel bedoelde rentevergoeding. De buitengerechtelijke incassokosten bedragen 15% van het te vorderen bedrag met een minimum van € 40,- per factuur.

Artikel 11 – Intellectuele eigendomsrechten

1. Gebruiker behoudt zich het recht voor om de goederen te voorzien van eigen naam en fabrieksmerk. Wederpartij erkent dat de intellectuele eigendomsrechten met betrekking tot de van Gebruiker gekochte goederen, c.q. met betrekking tot de door Gebruiker ter beschikking gestelde zaken, waaronder onder meer, doch niet uitsluiten begrepen, informatiebladen en reclamemateriaal, berusten bij Gebruiker c.q. bij een van de vennootschappen van de groep waarvan ▇▇▇▇▇▇▇▇▇ deel uitmaakt.

2. Wederpartij zal deze rechten eerbiedigen en is gehouden zich ter zake te gedragen conform de door Gebruiker gegeven instructies. Voor zover Wederpartij constateert dat op de intellectuele eigendomsrechten als in dit artikel bedoeld inbreuk wordt gemaakt door

derden, is Wederpartij gehouden Gebruiker daarvan direct op de hoogte te stellen.

Artikel 12 – Aansprakelijkheid

1. De aansprakelijkheid van Gebruiker voor schade veroorzaakt door gebreken van het geleverde of tekortkomingen in de geleverde diensten is beperkt tot de uitkering van de verzekeraar van Gebruiker dienaangaande.

2. In het geval Gebruiker geen verzekering heeft afgesloten voor de schade als omschreven in lid 1 van dit artikel of deze verzekering geen dekking biedt voor de betreffende schade, is de aansprakelijkheid van Gebruiker beperkt tot het netto factuurbedrag dienaangaande.

3. Gebruiker is nimmer aansprakelijk voor indirecte schade, waaronder onder meer begrepen, doch niet uitsluitend, schade van derden en winstderving.

4. De voorgaande beperkingen gelden niet in het geval de schade het gevolg is van opzet of bewuste roekeloosheid aan de zijde van ▇▇▇▇▇▇▇▇▇ of haar leidinggevende ondergeschikte(n).

5. Indien Gebruiker door een derde op grond van de regels omtrent productaansprakelijkheid aansprakelijk wordt gehouden, is Wederpartij gehouden Gebruiker in de betreffende procedures alle benodigde bijstand te bieden. Voorts is de Wederpartij gehouden tot het volledig vergoeden van de daaruit voortvloeiende schade, indien Wederpartij dienaangaande enig verwijt kan worden gemaakt.

Artikel 13 – Onuitvoerbaarheid van de opdracht

1. Indien na de totstandkoming van een overeenkomst deze door Gebruiker niet kan worden nagekomen ten gevolge van omstandigheden die Wederpartij bij het tot stand komen van de overeenkomst niet bekend waren, heeft ▇▇▇▇▇▇▇▇▇ het recht te vorderen dat de inhoud van de overeenkomst zodanig wordt gewijzigd dat uitvoering mogelijk blijft.

2. Daarnaast heeft ▇▇▇▇▇▇▇▇▇ het recht de nakoming van zijn verplichting op te schorten en is hij niet in verzuim, indien hij ten gevolge van verandering in omstandigheden die ten tijde

van het sluiten van de overeenkomst redelijkerwijze niet te verwachten waren en buiten zijn invloedssfeer liggen, tijdelijk verhinderd is zijn verplichtingen na te komen.

3. Onder omstandigheden die redelijkerwijze niet te verwachten zijn en buiten de invloedssfeer van Gebruiker liggen, wordt mede verstaan het niet voldoen door leveranciers van Gebruiker aan hun verplichtingen, brand, stakingen of werkonderbrekingen of het verloren gaan van de te verwerken materialen, import- of handelsverboden.

4. Geen bevoegdheid tot opschorting bestaat als de nakoming blijvend onmogelijk is of de tijdelijke onmogelijkheid meer dan zes maanden voortduurt, in welk geval de overeenkomst tussen partijen wordt ontbonden zonder dat één der partijen recht heeft op vergoeding van de door de ontbinding geleden of te lijden schade. Als Gebruiker zijn verplichting gedeeltelijk is nagekomen, is hij gerechtigd tot een evenredig deel van de overeengekomen prijs op grondslag van het reeds verrichte werk en de gemaakte kosten.

Artikel 14 – Controleren en na-calculeren van het aangenomen werk

1. Als bij controle op het binnen gebrachte werk mocht blijken dat dit niet overeenkomt met de, door Wederpartij, eerder verstrekte gegevens zal het daarvoor benodigde kosten van het meerwerk, voor aanvang van de opdracht, aan Wederpartij worden bevestigd. Mocht de Gebruiker door dit meerwerk niet meer kunnen voldoen aan eerder afgesproken levertijden dan zal hij dit direct kenbaar maken en een nieuwe levertijd bepalen. Na oplevering van het werk zal d.m.v. een nameting gecontroleerd worden of de, door de Wederpartij opgegeven hoeveelheden, overeenkomen met de werkelijke hoeveelheden. D.m.v. een nacalculatie zal het eventuele meerwerk in de eindafrekening worden verwerkt. Met het verrekenen van eventueel minderwerk zal pas rekening worden gehouden als het verschil in opgegeven hoeveelheid en werkelijke hoeveelheid meer dan 10% bedraagt ten voordele van de Gebruiker.

2. Meerwerk zal worden berekend op basis van de prijsbepalende factoren die gelden op het moment dat het meerwerk wordt verricht. Minderwerk zal worden verrekend op basis van

de bij het sluiten van de overeenkomst geldende prijsbepalende factoren.

Artikel 15 – Prijswijziging

1. De overeengekomen prijzen zijn gebaseerd op de kosten van grondstoffen, materialen en lonen geldend op de dag van offerte.

2. Indien en voor zover de termijn tussen de datum van de overeenkomst en de levering een tijdvak van drie maanden overschrijdt en de lonen, de prijzen van de grondstoffen en materialen en dergelijke in die periode wijzigingen hebben ondergaan, wordt de overeengekomen prijs evenredig gewijzigd. De betaling van een eventuele meerprijs op grond van dit artikel zal geschieden gelijk met die der hoofdsom respectievelijk de laatste termijn daarvan.

Artikel 16 – Ontbinding

1. Gehele of gedeeltelijke ontbinding van de overeenkomst vindt plaats, door een schriftelijke verklaring van de daartoe gerechtigde. Alvorens Wederpartij een schriftelijke ontbindingsverklaring tot Gebruiker richt, zal hij te allen tijde eerst Gebruiker schriftelijk in gebreke stellen en deze een redelijke termijn gunnen om alsnog zijn verplichtingen na te komen dan wel tekortkomingen te herstellen, welke tekortkomingen Wederpartij

nauwkeurig schriftelijk dient te melden.

2. Wederpartij heeft geen recht de overeenkomst geheel of gedeeltelijk te ontbinden of zijn verplichtingen op te schorten indien hij zelf reeds in verzuim was met de nakoming van zijn verplichtingen.

3. Indien Gebruiker instemt met ontbinding, zonder dat er sprake is van verzuim van zijn zijde, heeft hij steeds het recht op vergoeding van alle vermogensschade zoals kosten, gederfde winst en redelijke kosten ter vaststelling van schade en aansprakelijkheid. In geval van gedeeltelijke ontbinding kan Wederpartij geen aanspraak maken op ongedaan making van reeds door ▇▇▇▇▇▇▇▇▇ verricht prestaties en heeft Gebruiker onverkort recht op betaling voor de reeds door hem verrichte prestaties.

Artikel 17 – Toepasselijk recht en forumkeuze

1. Op alle aanbiedingen, overeenkomsten en de uitvoering daarvan is uitsluitend Nederlands recht van toepassing.

2. Alle geschillen zullen worden beslecht door het gerecht in het arrondissement waar Gebruiker is gevestigd.

Indien en voor zover enig artikel of onderdeel van een bepaald artikel in de overeenkomst en de onderhavige voorwaarden nietig c.q. vernietigbaar mocht blijken, blijven de overige voorwaarden in stand en wordt het nietige artikel of onderdeel van een bepaald artikel aldus geacht te zijn geconverteerd aldus dat het in overeenstemming met de kennelijke bedoelingen van partijen wordt gebracht, waarbij in het bijzonder acht wordt geslagen op de overige artikelen en/of onderdelen van artikelen van de overeenkomst en de onderhavige voorwaarden.

Article 1 - Definitions

1. In these general terms and conditions, the following terms shall have the following meanings.

2. User: The user of these General Terms and Conditions, who has declared these General Terms and Conditions applicable to the agreement(s) concerned;

3. Other Party: the other party or parties to the agreement to which these General Terms and Conditions have been declared applicable.

Article 2 - Applicability of General Terms and Conditions

1. These General Terms and Conditions apply to all offers and quotations of, agreements with, deliveries and services of the User, regarding the legal relationship(s) relating to the sale of goods and supply of services, all other agreements of a similar nature and purport and furthermore to all agreements to which these General Terms and Conditions have been declared applicable by the User.

2. Deviating clauses, agreements or arrangements shall only apply if and insofar as these have been explicitly confirmed in writing by the User.

Article 3 – Offers

1. All offers are without obligation and are made subject to interim changes. If no validity period is indicated on the offer, the offer will expire 60 days after the date of the offer. Quotations are based on the information provided by Counterparty, at the time of any requests provided data, sketches, dimensions, photos, etc., the accuracy of which the User may assume.

2. Pictures and drawings provided by the User shall at all times remain his property and must be returned to him immediately upon request, failing which the holder shall be liable for the value thereof to be determined by the owner shall be due. This provision also applies, if the user has indicated that he wishes their return.

3. The prices quoted are in Euro and apply to delivery ex workshop resp. factory. The prices stated are in euros including sales tax for the private market and for the business market in Euro exclusive of sales tax.

Article 4 - Orders

1. All agreements are entered into by the User under the suspensive condition that the information it obtains shows that the Other Party is sufficiently creditworthy.

2. If the User does not notify the Other Party in writing within 10 working days after entering into the agreement that the agreement cannot be performed due to insufficient creditworthiness of the Other Party, the agreement becomes final, on the understanding that the User may at any time exercise its right described in the third paragraph.

3. If an Other Party is in default towards the User in the settlement of any agreement, the User shall at all times be entitled, even after it has executed an agreement in full or in part, before proceeding to (further) execution of the agreement, to require the Other Party to provide sufficient security that it will meet its payment obligations.

4. Changes and cancellations of orders made by the Other Party shall only take effect after express written agreement on the part of the User, subject to the relevant provisions of Article 7.

5. If the User has given a written order confirmation, the content of which differs from what was ordered by the Other Party in writing or whose delivery time differs from that desired by the Other Party, the User must explicitly point out these differences in the order confirmation or by separate message. If the User does not respond to this in writing within 10 working days, the agreement will be deemed to have been concluded.

Article 5 - Packaging, shipping and delivery

1. The Other Party undertakes towards the User to deliver the items properly and to secure them in such a way that they will reach their destination in good condition during normal transport. The Other Party shall also be responsible for the proper transport of the items to be processed.

2. The User will package the processed items either in the original packaging or in new packaging, at the User's discretion, in such a way that the processed items can reach their destination in good condition during normal transportation. The new packaging will be charged at cost price and will not be taken back.

3. If the User has made pallets, packing cases, crates, etc. available for packaging and/or transport, or has had them made available by a third party - whether or not in return for payment of a deposit, the Other Party will be obliged (unless it concerns one-off packaging) to return these pallets etc. to the address specified by the User, failing which the Other Party shall owe the User full compensation.

4. The indication of the delivery time is approximate. User undertakes to comply with the specified delivery time as far as possible, but is not liable for the consequences of exceeding, which he could not reasonably have prevented. Such overrun does not oblige the User to any compensation, nor does it give the Other Party the right to dissolve the agreement.

5. If the presumed delivery time referred to in paragraph 4 of this article is exceeded, the User shall be granted a further period to still deliver. This further period is equal to the original presumed delivery time with a maximum of one month.

6. If the goods are shipped by means of the User's means of transport or by forwarding agents working on its behalf, delivery shall be made by presenting the goods at the ground floor to the Other Party's warehouse. In this case, the items travel at the User's risk until the time of delivery.

7. All items shall be transported at the Other Party's expense, unless freight costs are included in the price.

8. If the Other Party refuses to take immediate delivery of the goods offered to it correctly and undamaged, any resulting costs, including but not limited to freight and storage costs, shall be for its account.

Article 6 - Retention of title

1. Delivered goods remain the sole property of the User as long as the Other Party has not has not satisfied the claims:

A. in respect of items delivered or to be delivered by the User to the Other Party pursuant to this or any other agreement , or

B. in respect of services performed or to be performed for the benefit of the Other Party under the aforementioned agreements, or

C. arising from failure to perform the foregoing obligations, including, but not limited to, interest and extrajudicial and judicial costs.

The present retention of title shall thus not be extinguished if at any time there is no outstanding claim of the User under retention of title against the Other Party, but also covers future claims.

2. The User also acquires (joint) ownership of the aforementioned items, as security for all outstanding and future (outstanding) claims against the Other Party, as well as with regard to the items in respect of which the User's ownership right is lost through processing, accession, conversion or otherwise. As soon as the Other Party fails to comply with one or more of its obligations towards the User, all of the Other Party's claims shall become immediately due

and payable in full and the User shall be entitled, without any notice of default or judicial intervention, to enforce the rights arising from its retention of title.

3. Prior to said transfer of ownership, the other party is not authorized to sell, deliver or otherwise dispose of or encumber the delivered goods other than in accordance with its normal business and the normal purpose of the goods. This authority shall lapse the moment the Counterparty is granted (provisional) suspension of payment or is declared bankrupt. The other party may in no case allow the item subject to retention of title to serve as security for claims to third parties.

4. Prior to said transfer of ownership, User shall at all times have access to the items that are its property, wherever they are located. The Other Party undertakes to provide the User with unobstructed passage and entrance at all times to and in the buildings in which or where the items are located. The user does not need prior permission to gain access to the buildings and/or grounds in question. The foregoing also applies with respect to third parties holding

the items in question for the Other Party.

5. If the provisions of this Article are violated, the Other Party shall be liable for a penalty of 100% of the outstanding claim at the time of the violation, without prejudice to the

provisions of Article 10. The Other Party is not permitted to charge costs to User with respect to the effectuation of the rights in this article. Also the costs as last mentioned that are incurred by others than the Other Party to effectuate these rights are at the Other Party's expense and risk and may not be charged to the User.

Article 7 - Complaints

1. Any complaints must be expressly brought to the User's attention in writing within 1 (one) month of delivery of the goods or performance of services. Under penalty of inadmissibility and loss of rights related to the claim, the claim must be submitted in writing immediately after the circumstances giving rise to the claim have come to the attention of the Counterparty. Each delivery of goods and services is to be considered a separate transaction, i.e., complaints, which relate to a particular delivery, do not affect prior or subsequent deliveries.

2. Under penalty of inadmissibility of any complaints and loss of rights related to the complaint, the Other Party must check the goods for visible defects immediately upon receipt.

3. Complaints which by their nature or customary practice cannot be lodged within the stipulated period of 1 (one) year after delivery of the goods can still be lodged, subject to the provisions of paragraphs 1 and 2.

4. The other party remains obliged to make payment within the specified payment period. Complaints or other alleged attributable shortcomings do not affect this obligation.

In the event of an alleged attributable failure, or in other cases, the items may be returned by the Other Party only after the User has agreed to this in writing. Return shipments without such a written agreement shall not affect the obligation to pay, while the resulting costs shall be borne by the Other Party.

5. Repairs to delivered goods made by or on the instructions of the Other Party, of whatever nature and from whatever cause, shall not be reimbursed by the User, unless the latter has previously agreed in writing to the making of such repairs.

Article 8 - Warranty

1. If the User and the Other Party agree on guarantee(s), these guarantee(s) shall only apply to the work commissioned by the User, on behalf of the Other Party.

2. The User guarantees the usual normal quality and soundness of what is delivered; however, its actual lifespan can never be guaranteed.

3. There is no warranty regarding discoloration and subordinate color deviations.

4. The User does not guarantee and shall never be deemed to have guaranteed that the goods are suitable for the purpose for which the other party wishes to use or uses them, unless the User has expressly confirmed this to the other party in writing confirmed.

Article 9 - Non-attributable shortcoming

1. If the User is prevented by mobilization, danger of war, war, strike of any kind, lockout or by a non-attributable failure of any other nature in the execution of the agreement, he shall not be bound by any deadline and shall also be authorized not to execute the agreement entered into by him in whole or in part, without the need for any judicial measure. User must notify

Other Party of the occurrence of the circumstances of the non-attributable failure as soon as possible.

Article 10 - Payments

1. All payments must be received by the User, without any set-off, within 8 days of the invoice date. This period is considered a deadline.

2. In the absence of full payment after the latter term, the Other Party shall be in default. From the moment of default, the Other Party shall owe interest of 5% of the invoice amount for each calendar month or part of the calendar month by which the due date is exceeded, with a maximum of 10% per year.

3. Should it appear in law that the interest compensation mentioned in paragraph 2 of this article is unreasonably onerous, the statutory interest rate shall apply.

4. In case of non-payment of any claimable amount, suspension of payments, application for suspension of payments, bankruptcy or liquidation of the Other Party's business, the User has the right to dissolve the agreement or that part of it which has not yet been executed at that time, without further notice and without any judicial intervention being required,

without prejudice to its right to compensation for any loss which may arise for it as a result of the foregoing. In these cases, any claim which the User has against the chargeable to the Other Party is immediately due and payable.

5. The Other Party, by the mere conclusion of the agreement, is obliged to pay all judicial and extrajudicial costs, including, but not limited to, the costs of legal assistance and advice prior to the proceedings, postage of letters of demand(s), the costs charged by those who are charged by the User with collection, all this in connection with the Other Party's failure to comply with any obligation towards the User, irrespective of the interest compensation referred to in paragraphs 2 and 3 of this article. The extrajudicial collection costs are 15% of the amount to be claimed with a minimum of €40 per invoice.

Article 11 - Intellectual property rights

1. User reserves the right to provide the goods with its own name and trademark. The other party acknowledges that the intellectual property rights relating to the goods purchased from the User or in respect of the items made available by the User, including , but not limited to, information sheets and advertising material, are held by the User or one of the companies in companies of the group to which the User belongs.

2. The Other Party will respect these rights and is obliged to behave in this respect in accordance with the instructions given by the User. Insofar as the Other Party observes that the intellectual property rights as referred to in this article are infringed by third parties, the Other Party will be obliged to inform the User immediately.

Article 12 - Liability.

1. The User's liability for damage caused by defects in the delivered goods or shortcomings in the delivered services is limited to the payment of the User's insurer in this regard.

2. In the event that the User has not taken out insurance for the damage described in paragraph 1 of this article or this insurance does not cover the damage in question, the User's liability shall be limited to the net invoice amount in question.

3. User shall never be liable for indirect damages, including, but not limited to, damages of third parties and loss of profits.

4. The foregoing limitations do not apply in the event that the damage is the result of intentional or deliberate recklessness on the part of the User or its managing subordinate(s).

5. If the User is held liable by a third party under product liability rules, the Other Party shall be obliged to provide the User with all necessary assistance in the relevant proceedings. Furthermore, the Other Party is obliged to fully compensate the resulting damage, if the Other Party can be blamed for this in any way.

Article 13 - Impracticability of the assignment

1. If after the conclusion of an agreement by the User cannot be fulfilled due to circumstances that the Other Party at the time of the conclusion of the were not known at the conclusion of the agreement, User has the right to demand that the content of the agreement in such a

way that execution remains possible.

2. In addition, the User shall be entitled to suspend the performance of his obligation and shall not be in default if, as a result of a change in circumstances that could not reasonably be expected at the time of conclusion of the agreement, he is temporarily prevented from fulfilling his obligations.

3. Circumstances that cannot reasonably be expected and are beyond the User's control include failure of the User's suppliers to meet their obligations, fire, strikes or work stoppages or loss

of the materials to be processed, import or trade bans.

4. No authority to suspend shall exist if performance is permanently impossible or the temporary impossibility continues for more than six months, in which case the contract between the parties shall be dissolved without either party being entitled to compensation for damage suffered or to be suffered as a result of the dissolution. If the User has partially fulfilled his obligation, he is entitled to a proportional part of the agreed price on the basis of the work already done and the costs incurred.

Article 14 - Checking and post-calculation of the accepted work

1. If, upon inspection of the work brought in, it appears that it does not correspond with the information previously provided by the Counterparty, the necessary cost of the additional work will be confirmed to the Counterparty before the commencement of the assignment. Should the User no longer be able to meet previously agreed delivery times as a result of this additional work, it will immediately make this known and set a new delivery time. After completion of the work, it will be checked by means of a follow-up measurement whether the quantities specified by the Other Party correspond to the actual quantities. By means of subsequent calculation, any additional work will be included in the final invoice. Settlement of will only be taken into account if the difference between the quantity specified and the actual quantity is more than 10% to the User's advantage.

Article 14 - Checking and post-calculation of the accepted work

2. Additional work will be calculated based on the pricing factors in effect at the time the additional work is performed. Less work will be settled on the basis of the price determining factors prevailing at the time of the conclusion of the contract.

Article 15 - Price Change

1. The agreed prices are based on the cost of raw materials, materials and wages applicable on the day of quotation.

2. If and to the extent that the period between the date of the agreement and delivery exceeds a period of three months and wages, prices of raw materials and materials and the like have undergone changes during that period, the agreed price shall be changed proportionately. Payment of any surcharge pursuant to this article shall be made concurrently with that of the principal sum or the last installment thereof, respectively.

Article 16 - Dissolution

1. Whole or partial dissolution of the agreement takes place, by a written statement of the person entitled to do so. Before the Other Party addresses a written declaration of dissolution to the User, it will at all times first give the User written notice of default and grant it a reasonable period of time to still comply with its obligations or remedy any shortcomings, which shortcomings the Other Party must report precisely in writing.

2. The other party has no right to dissolve the agreement in whole or in part or to suspend its obligations if it has itself already defaulted on its obligations.

3. If User agrees to dissolution, without there being any default on his part, he shall always be entitled to compensation for all pecuniary losses such as costs, lost profits and reasonable costs incurred in determining damages and liability. In case of partial dissolution, the Other Party cannot claim undoing performances already performed by the User and the User is fully entitled to payment for the performances it has already performed.

Article 17 - Applicable law and choice of forum

1. All offers, agreements and the performance thereof shall be governed exclusively by Dutch law.

2. All disputes will be settled by the court in the district where the User is located.

3. If and to the extent that any article or part of a particular article in the agreement and the present terms and conditions should prove to be void or voidable, the other terms and conditions shall remain in force and the void article or part of a particular article shall be deemed to have been so converted as to bring it into conformity with the apparent intentions of the parties, with particular regard to the other articles and/or parts of articles of the agreement and the present terms and conditions.
