Nelle presenti condizioni generali di acquisto (di seguito, le “Condizioni Generali”) le seguenti espressioni avranno il significato qui di seguito loro attribuito: | In these general terms and conditions of purchase (hereinafter “General Terms”), the following words and terms shall have the meaning set forth below: |
“Beni”: sono i beni/ o servizi descritti nell’Ordine. “Consegna”: significa il completamento della consegna materiale dei Beni da parte del Fornitore in conformità agli Incoterms 2010 DDP, o in caso di sostituzione degli Incoterms 2000, conformemente agli Incoterms in vigore e/o erogazione del servizio. “Contratto”: è il contratto avente ad oggetto la fornitura dei Beni, di volta in volta conclusi tra Otar e il Fornitore con le modalità previste dal successivo Articolo 2. “Fornitore”: è il venditore dei Beni. “Otar”: è Otar S.r.l. “Ordine”: è l’ordine di acquisto (ed i relativi allegati) sottoscritto da Otar e trasmesso al Fornitore. “Parte”: significa Otar e/o il Fornitore. “Parti”: significa Otar e il Fornitore. Termini al singolare/plurale: in queste Condizioni Generali ogni riferimento a parole formulate al singolare includerà anche la forma plurale e viceversa. | “Contract”: means the agreement for supply of Goods entered into from time to time between Otar and the Supplier, with the formalities of finalization described in Article 2. “Delivery”: means delivery completion of Goods by Supplier in accordance with Incoterms 2010 DDP, or in case of replacement of Incoterms 2000, accordance with the Incoterms in force and/or service delivery. “Goods”: means the goods/ or services described in the Order. “Otar”: means Otar S.r.l. “Order”: means the purchase order (and its attachments) signed by Otar and transmitted to Supplier. “Party”: means Otar and/or Supplier. “Parties”: means Otar and Supplier. “Supplier”: means the seller of the Goods. Singular/plural terms: any reference in these General Terms to terms in the singular number shall be deemed to include the plural and vice versa. |
1. GENERALE | 1. GENERAL |
1.1. ▇▇▇▇ concorda di acquistare e il Fornitore concorda di vendere i Beni secondo i termini e le condizioni contenuti nelle presenti Condizioni Generali, fermo restando che l’impegno da parte di Otar ad acquistare i Beni nascerà di volta in volta a seguito di emissione di un Ordine, ovvero attraverso la sottoscrizione congiunta di separato Contratto. In caso di conflitto o incompatibilità tra le presenti Condizioni Generali e le pattuizioni specifiche concordate tra le Parti in separati Contratti relativi alla compravendita dei Beni, tali pattuizioni specifiche prevarranno. | 1.1. Otar agrees to purchase and the Supplier agrees to sell the Goods under the terms and conditions of these General Terms, provided, however, that specific commitments to purchase and sell shall be subject to the issuance by Otar of an Order, or by the execution of a separate Contract. In the event of any conflict of discrepancy between the General Terms and any other special terms which is part of separate Contracts for the supply of the Goods, such special terms shall prevail. |
1.2. Le presenti Condizioni Generali si applicano a tutti i Contratti tra Otar e il Fornitore. Le presenti Condizioni Generali formano parte integrante e sostanziale del Contratto e/o dell’Ordine cui sono allegate. Qualsiasi modifica e/o deroga alle presenti Condizioni Generali dovrà essere pattuita per iscritto tra Otar e il Fornitore. Pertanto, qualsiasi modifica e/o deroga inserita dal Fornitore nell’Ordine, sue fatture, note e/o corrispondenza, non espressamente approvata con specifica sottoscrizione di Otar, deve considerarsi come non apposta e comunque invalida e/o inefficace nei confronti di ▇▇▇▇. In nessuna circostanza le condizioni del Fornitore prevarranno su quelle di ▇▇▇▇. | 1.2. These General Terms shall apply to all Contracts between Otar and the Supplier, unless Otar has otherwise agreed in writing. These General Terms form an integral and substantial part of the Contract and/or the Order which they are attached to. Any amendment of and/or exception to these General Terms shall be agreed in writing between Otar and the Supplier. Therefore, any amendments of and/or exception included by the Supplier in the Order, his invoices, notes and/or correspondence, shall be considered as not affixed and in any case invalid and/ or ineffective against Otar, in the absence of express written approval by ▇▇▇▇. Under no circumstances will the Supplier's conditions prevail over those of ▇▇▇▇. |
