1.OBJET
2. REGLEMENTATION APPLICABLES AUX REPLIQUES D’ARMES
La Société CYBERGUN rappelle que la distribution et la commercialisation des répliques sont soumises au strict respect de la règlementation applicable, et en particulier l’article 2 du Décret n°99-240 du 24 mars 1999 qui prévoit que « La vente, la distribution à titre gratuit à des mineurs ou la mise à leur disposition à titre onéreux ou gratuit des produits visés à l’article 1er du présent décret sont interdites. » Le non-respect de ces dispositions par le Client engage son entière responsabilité et unique responsabilité. En aucun cas, la responsabilité de CYBERGUN SA ne saurait être engagée.
3. OUVERTURE DE COMPTE
Toute demande d’ouverture est en premier lieu soumise à l’acceptation de CYBERGUN SA, ainsi qu’à la communication de l’ensemble des informations et pièces justificatives demandées par le service commer- cial de CYBERGUN SA :
• un extrait K-Bis de moins de 3 mois,
• un Relevé d’Identité Bancaire,
• les coordonnées de votre banque (adresse, téléphone et nom du gestionnaire de compte),
• un numéro de TVA intracommunautaire,
• les présentes conditions générales de vente datées, signées, paraphées et revêtues du cachet com- mercial. L’ouverture de compte est facturée 40 EUROS HT remboursés, sous forme d’avoir, lors de la première commande.
4. COMMANDES
Toute commande implique l’acceptation formelle et sans réserves des présentes conditions générales de vente. CYBERGUN se réserve le droit, à compter de la réception de la commande du Client, de l’accepter, de la rejeter ou de faire des réserves. Un accusé de réception ne constitue pas une acceptation de com- mande par CYBERGUN.
5. PRIX
Les prix des marchandises vendues sont ceux en vigueur au jour de la prise de commande. Ils sont libellés en euros et calculés hors taxes. Par voie de conséquence, ils seront majorés du taux de TVA et des frais de transport applicables au jour de la commande. Variations de prix : La société CYBERGUN SA pourra, en cours de contrat, proposer au Client une révision de ses conditions tarifaires, à la hausse ou à la baisse, pour tenir compte de l’évolution générale des prix, de la variation des cours Euro/Dollar, de la concurrence et des coûts de production des produits et répercuter de façon équitable et équilibrée ces évolutions et va- riations, pour autant que l’économie générale de la convention ne soit pas remise en cause et que le Client puisse continuer à faire face à la concurrence. Toutefois, elle s’engage à facturer les marchandises com- mandées aux prix indiqués lors de l’enregistrement de la commande. Rabais, remises et ristournes : Les tarifs proposés comprennent les remises, rabais et ristournes que la société CYBERGUN SA serait amenée à octroyer compte tenu de ses résultats ou de la prise en charge par l’acheteur de certaines prestations. Erreurs de prix : Nonobstant l’acceptation par CYBERGUN SA d’une commande de la part du Client, en cas d’erreur manifeste de prix de la part de CYBERGUN SA, ce dernier est en droit, dans un délai de 30 jours à compter de l’acceptation de la commande :
• soit de facturer le Client pour le prix réel du produit à la date de la commande,
• soit, si le Client le préfère, annuler la commande ou, si les produits ont déjàété livrés, les reprendre à ses frais.
En aucun cas, le Client ne saurait se prévaloir d’un prix inférieur au seuil de revente à perte.
6. RESERVE DE PROPRIETE
La société CYBERGUN SA reste propriétaire de la marchandise livrée à compter du jour de livraison jusqu’ à complet paiement de l’intégralité du prix de vente, les risques de la marchandise incombant néan- moins au destinataire, dès la mise à disposition de celle-ci. Ne constituent pas des paiements, les remises de traites ou de tous titres créant une obligation de payer. En cas de non-paiement, la société CYBERGUN SA est en droit d’effectuer ou de faire effectuer la reprise de la marchandise à la charge du Client. De même, la société CYBERGUN SA pourra revendiquer entre les mains des sous-acquéreurs la restitution des mar- chandises, et/ou le paiement de leurs prix. Cette clause fait partie intégrante de nos conditions générales de vente, et le Client déclare l’accepter sans réserve.
7. MODALITES DE PAIEMENT ET ESCOMPTE
Le règlement des commandes s’effectue :
• soit par xxxxxx ;
• soit par carte bancaire ;
• soit par virement bancaire ;
• le cas échéant, les autres moyens de paiement acceptés sont indiqués sur la facture.
Aucun escompte ne sera consenti en cas de paiement anticipé.
8. RETARD DE PAIEMENT
Pénalités de retard : En cas de défaut de paiement total ou partiel des marchandises livrées au jour de la réception, l’acheteur doit verser à la société CYBERGUN SA une pénalité de retard égale à trois fois le taux de l’intérêt légal. Le taux de l’intérêt légal retenu est celui en vigueur au jour de la livraison des marchan- dises. Cette pénalité est calculée sur le montant TTC de la somme restant due, et court à compter de la date d’échéance du prix sans qu’aucune mise en demeure préalable ne soit nécessaire. Indemnité forfaitaire : En sus des indemnités de retard, toute somme, y compris l’acompte, non payée à sa date d’exigibilité produira de plein droit le paiement d’une indemnité forfaitaire de 40 euros due au titre des frais de
recouvrement conformément aux disposition des articles L 441-6, I alinéa 12 et D. 441-5 du code de commerce.
9. CLAUSE RESOLUTOIRE
Si dans les quinze jours qui suivent la mise en œuvre de la clause " Retard de paiement ", l'acheteur ne s’est pas acquitté des sommes restant dues, la vente sera résolue de plein droit et pourra ouvrir droit à l’allocation de dommages et intérêts au profit de la société CYBERGUN SA. La société CY- BERGUN SA pourra dénoncer tous accords conclus avec le client du fait de l’inexécution par ce dernier de son obligation essentielle de payer le prix des marchandises vendues par la société CYBERGUN SA.
Terms of Sales
1. PURPOSE
The general terms and conditions of sale outlined below set out in detail the rights and obligations of CYBERGUN SA (seller) and its customer (buyer) in connection with the sale of the following goods: replica weapons, accessories and consumables, and more generally all products marketed on the CYBERGUN catalogue available on the website at www. xxxxxxxx.xxx. Any sale by CYBERGUN SA therefore implies the buyer’s unreserved adherence to these general terms and conditions of sale. These general terms and conditions of sale are subject to change without notice. CYBERGUN undertakes to provide its Customers with the latest applicable version on the website xxx.xxxxxxxx.xxx
2. REGULATION OF REPLICA WEAPONS
CYBERGUN reiterates that the distribution and marketing of replicas are subject to strict compliance with the applicable regulation, and in particular Article 2 of Decree 99-240 of March 24, 1999, which stipulates that “The sale, distribution free of charge to minors or making available to them for consideration or free of charge of the products referred to in Ar- ticle 1 of this Decree shall be prohibited.” The Customer shall be held fully liable and solely responsible in the event that it fails to comply with these provisions. Under no circumstances shall CYBERGUN SA’s liability be incurred.
3. ACCOUNT OPENING
Any request to open an account must first and foremost be accepted by CYBERGUN SA and all information and suppor- ting documents requested by XXXXXXXX XX’x sales department must be submitted:
• a corporate registration certificate (extrait K-Bis) issued within the last 3 months,
• banking information (Relevé d’Identité Bancaire),
• your bank’s contact information (address, telephone number and name of the account manager), an intra-Com- munity VAT number,
• these general terms and conditions of sale dated, signed, initialled and stamped with the company seal. Account openings are charged 40 euros (excluding tax), which shall be reimbursed in the form of a credit note at the time of the first order.
4. ORDERS
The placing of orders implies the formal, unreserved acceptance of these general terms and conditions of sale. Once the Customer’s order is received, CYBERGUN reserves the right to either accept or reject it or to issue reservations. An acknowledgement of receipt does not constitute acceptance of an order by CYBERGUN.
5. PRICE
The prices of the goods sold are those in force on the day of the order. They are denominated in euros and calculated net of tax. Accordingly, the prices shall be increased by VAT at the rate in force along with the transport charges which apply on the date of the order. Changes in prices: CYBERGUN SA may, during the course of the contract, propose to the Customer a revision of its pricing conditions, whether upward or downward, in order to take into account the general evolution of prices, the variation of the euro/dollar exchange rate, competition and production costs of the products and to pass on in a fair and balanced manner these evolutions and variations, provided that the general economy of the agreement is not called into question and that the Customer can remain competitive. Notwithstanding the foregoing, CYBERGUN SA undertakes to invoice the ordered goods at the prices given at the time the order is recorded. Discounts, rebates and other payment deductions: The prices proposed include the discounts, rebates and other payment deductions which CYBERGUN SA might grant in view of its results or the buyer’s assumption of certain services. Price errors: Even if CYBERGUN SA accepts an order placed by the Customer, in the event of a manifest price error made by CYBERGUN SA, the latter shall be entitled, within 30 days of accepting the order, to either:
• invoice the Customer for the actual price of the product on the date of the order, or,
• should the Customer prefer, to cancel the order or, if the products have already been delivered, take them back at its own expense.
Under no circumstances may the Customer benefit from a price less than the sales profit/loss threshold.
6. RETENTION OF TITLE
CYBERGUN SA shall retain title of the delivered goods as from the day on which they are delivered until full payment of the total sale price. Notwithstanding the foregoing, risk shall be transferred to the recipient as from the time the goods are made available. Delivery of a bill of exchange or any other instrument creating an obligation to pay does not constitute payment. In the event of non-payment, CYBERGUN SA shall be entitled to take back the goods or have them taken back at the Customer’s expense. CYBERGUN SA may similarly claim the return of the goods and/or the payment of the price thereof from any subsequent purchasers. This clause constitutes an integral part of our general terms and conditions of sale and the Customer represents that it accepts it without reservation.
7. TERMS OF PAYMENT AND DISCOUNT
Payment of orders is made either:
• by cheque;
• or by credit card;
• or by bank transfer;
• where applicable, the other accepted means of payment are indicated on the invoice.
No discount will be granted for early payment.
8. LATE PAYMENT
Penalties for late payment: In the event that the delivered goods have not been paid in whole or part on the day of receipt, the buyer must pay CYBERGUN SA a late payment penalty equal to three times the statutory interest rate. The statutory interest rate shall be the rate in force on the day of delivery of the goods. This penalty shall be calculated based on the amount inclusive of taxes of the outstanding sum and shall be applied from the date the price is due without any prior formal notice being necessary. Lump-sum compensation: In addition to the compensation for late payment, any amount (including the deposit) not paid on its due date shall automatically give rise to the payment of lump-sum compensation in an amount of 40 euros for recovery costs in accordance with the provisions of Articles L 441-6, I paragraph 12 and D. 441-5 of the French Commercial Code (Code du commerce).
9. TERMINATION CLAUSE
If the buyer has not paid the outstanding amounts within fifteen days following the implementation of the "Late Payment" clause, the sale shall be automatically cancelled and CYBERGUN SA shall be entitled to claim damages as a result. CYBERGUN SA shall be entitled to terminate all agreements entered into with the customer as a result of the latter’s failure to fulfil its essential obligation to pay the price of the goods sold by CYBERGUN SA.

10. LIVRAISON
La livraison est effectuée :
• soit par la remise directe de la marchandise à l’acheteur ;
• soit par expédition au lieu indiqué par l’acheteur sur le bon de commande.
Les frais de transport et d’assurance sont à la charge exclusive de l’acheteur. Un franco de port est appliqué à toutes commandes supérieures à 1000 € HT, sur le territoire de la France Métropolitaine uniquement. Le délai de livraison indiqué lors de l’enregistrement de la commande n’est donné qu’à titre indicatif et n’est aucunement garanti. Par voie de conséquence, tout retard dans la livraison des produits ne pourra pas donner lieu au profit de l’acheteur à :
• l’allocation de dommages et intérêts ;
• l’annulation de la commande, sauf en cas d’accord écrit émanant de la société CYBERGUN SA.
Le risque du transport est supporté en totalité par l’acheteur. En cas de marchandises manquantes ou dété- riorées lors du transport, l’acheteur devra formuler toutes les réserves nécessaires sur le bon de commande à réception desdites marchandises. Ces réserves devront être, en outre, confirmées par écrit dans les trois jours suivant la livraison, par courrier recommandé AR, conformément aux dispositions de l’article L 133-3 du code de commerce.
11. PROPRIETE INTELLECTUELLE
Dans le cadre de toute vente de marchandise, l’acheteur déclare expressément ne pas avoir commis d’acte ou de recel de contrefaçon des droits de propriété intellectuelle (et notamment des droit d’auteur, droit des
dessins et modèles, droit des marques) du titulaire desdits droits, et s’engage à ne pas en commettre d’une quelconque manière que ce soit, y compris à l’expiration du contrat de vente. Le non-respect de cette clause emportera la résiliation, de plein droit, du contrat et l’acheteur s’exposera à des poursuites pénales et civiles dont le versement de dommages intérêts au vendeur et/ou au titulaire des droits de propriété intellectuelle.

12. GARANTIES
La société CYBERGUN SA reste tenue des garanties prévues par la loi. Sous réserve d’un usage normal de la marchandise, la société CYBERGUN SA garantit notamment l’acheteur contre :
• tout défaut de conformité à compter de la délivrance des marchandises pendant un an pour l’achteur et,
• tout vice caché dans les conditions prévues aux articles 1641 et suivants du code civil.
Aucune garantie ne pourra être appliquée en cas de mauvaise utilisation, négligence ou faute de la part de l’acheteur.
13. FORCE MAJEURE
La responsabilité de la société CYBERGUN SA ne pourra pas être mise en œuvre si la non-exécution ou le retard dans l’exécution de l’une de ses obligations décrites dans les présentes conditions générales de vente découle d’un cas de force majeure. À ce titre, la force majeure s’entend de tout événement échappant au contrôle du débiteur, qui ne pouvait être raisonnablement prévu lors de la conclusion du contrat et dont les effets ne peuvent être évités par des mesures appropriées empêchant l’exécution de son obligation par le débiteur au sens de l’article 1218 du Code civil.
14. DROIT APPLICABLE - TRIBUNAUX COMPETENT
Tout litige relatif à la validité, l’interprétation et à l’exécution des présentes conditions générales de vente est soumis au droit français. À défaut de résolution amiable, le litige relèvera de la compétence exclusive des tri- bunaux de Xxxxx (00).

Delivery is made:
• either by handing over the goods directly to the buyer; or;
• by shipment to the place indicated by the buyer on the purchase order.
The costs of carriage and insurance are entirely at the buyer’s charge. Free shipping (solely within the territory of Metropolitan France) is applied to all orders over €1,000 excluding taxes. The delivery time indicated at the time the order is recorded is given for information purposes only and is in no way guaranteed. Consequently, any delay in the delivery of the products shall not entitle the buyer to:
• damages;
• cancellation of the order, unless otherwise agreed in writing by CYBERGUN SA.
The transport risk shall be fully borne by the buyer. In the event of missing goods or goods that have been damaged during carriage, the buyer must issue all necessary reservations on the purchase order form upon receipt of said goods. These reservations must also be confirmed in writing within three days of delivery by registered mail with acknowledgement of receipt, in accordance with the provisions of Article L 133-3 of the French Commercial Code (Code du commerce).
11. INTELLECTUAL PROPERTY
In connection with any sale of goods, the buyer expressly represents that it has not committed any act of infringe- ment or concealment of infringement of the intellectual property rights (in particular copyright, design rights, tra- demark rights) of the owner of said rights, and undertakes not to commit any such act of infringement or conceal- ment of infringement in any way whatsoever, including at the expiry of the sales contract. Failure to comply with this clause shall result in the automatic termination of the contract and the buyer shall be liable to criminal and civil proceedings, including the payment of damages to the seller and/or the owner of the intellectual property rights.

12. WARRANTIES
CYBERGUN SA remains bound by the warranties provided by law. Subject to normal use of the goods, CYBER- GUN SA warrants in particular the buyer against:
• any lack of conformity as from delivery of the goods for one year for the buyer and,
• any hidden defect under the conditions provided for in Articles 1641 et seq. of the French Civil Code (Code civil).
No warranty shall be applicable in the event of misuse, negligence or fault on the part of the buyer.
13. FORCE MAJEURE
CYBERGUN SA may not be held liable in the event that the non-fulfilment or delay in fulfilment of any of its obligations set out in these general terms and conditions of sale arise from a force majeure event. In this context, force majeure is understood to mean any event beyond the control of the debtor, which could not be reasonably foreseen at the time the contract was entered into, and the effects of which cannot be avoided through appropriate measures, impeding the debtor’s performance of its obligation within the meaning of Article 1218 of the French Civil Code (Code civil).
14. GOVERNING LAW - COMPETENT COURTS
Any dispute relating to the validity, construction and enforcement of these general terms and conditions of sale is subject to French law. Failing an amicable settlement, the dispute will fall under the exclusive jurisdiction of the courts of Xxxxx (00).
