Contract
1 - OPPOSABILITE ET APPLICATION DES C.G.V.
Les présentes conditions sont adressées ou remises à chaque acheteur pour lui permettre de passer commande. En conséquence le fait de passer commande implique l’adhésion entière et sans réserve de l’acheteur à ces conditions, à l’exclusion de tout autre document tel que prospectus, catalogues, qui n’ont qu’une valeur indicative.
Aucune condition particulière ne peut, sauf acceptation formelle et écrite du vendeur, prévaloir contre elles. De même, l’acheteur renonce à ses propres conditions générales d’achat.
Le fait que le vendeur ne se prévale pas à un moment donné de l’une des présentes conditions ne peut être interprété comme valant renonciation à s’en prévaloir ultérieurement.
2 - FORMATION DU CONTRAT
Les offres du vendeur ne sont valables que pendant 1 mois sauf spécifications contraires.
Les commandes ne sont définitivement acceptées que lorsqu’elles ont été confirmées par écrit par le vendeur et, le cas échéant, après règlement de l'acompte convenu.
L’acceptation peut néanmoins résulter de l’expédition des marchandises.
Une commande devenue définitive ne peut être annulée faute de quoi l’intégralité du prix des marchandises sera facturée à l’acheteur et immédiatement exigible.
Le vendeur se réserve néanmoins, en cas de détérioration du crédit de l’acheteur ou s’il a des raisons légitimes de considérer que celui-ci sera dans l’impossibilité d’honorer le prix aux échéances convenues:
- soit d’annuler une commande en cours, même devenue définitive,
- soit d’exiger une garantie sérieuse ou un paiement avant livraison, étant précisé que le paiement s’entende à l’encaissement du prix.
Le bénéfice de la commande est personnel à l’acheteur et ne peut être cédé sans l’accord préalable et écrit du vendeur.
3- FRAIS D’ETUDES – OUTILLAGE
Les études, formulations, projets, prototypes, échantillons et documents s’y rapportant, réalisés par le vendeur et remis à l’acheteur, restent la propriété du vendeur.
Ils ne peuvent être utilisés, reproduits ou communiqués à des tiers sans l’autorisation écrite et préalable du vendeur. Ils ne pourront faire l’objet d’aucune protection conférée par un titre de propriété industrielle, à l’exclusion du vendeur. Une participation aux frais d’outillage sera facturée au client, les frais d’études et de mise au point restant à la charge du vendeur.
Sauf cas particulier, l’outillage réalisé sous la responsabilité du vendeur devient, en partie, après paiement, la propriété de l’acheteur dans les ateliers du vendeur.
L‘outillage ne peut être utilisé sans l’autorisation expresse du client au profit d’une autre entreprise.
Sauf carence dûment constatée, le client s’interdit de réclamer l’outillage. Dans le cas contraire, l’acheteur s’engage à régler, à titre de réparation, une indemnité pour frais d’études et de mise au point. Cette même indemnité est exigible lorsque l’exécution de l’outillage n’est pas suivie de la commande prévue dans un délai de 6 (six) mois.
En outre, en cas de fabrication spéciale nécessitant l‘acquisition d’un matériel spécifique, une indemnité complémentaire sera due, représentant le prix d’acquisition de ce matériel.
Les outillages restent dans les ateliers du vendeur qui en assure l’entretien et la maintenance.
II appartient à ce dernier d’assurer les outillages contre tout risque de détérioration ou de destruction.
Si aucune commande afférente à un outillage n’est enregistrée pendant un délai de 2 (deux) ans, le vendeur se réserve après une mise en demeure par lettre recommandée avec avis de réception, le droit de disposer de cet outillage sans justification, et au besoin, de procéder à sa destruction.
Règlement des outillages: 1/3 à la commande, 1/3 à l’homologation, 1/3 à la première livraison série.
4 – LIVRAISON
4.1. Modalités
La livraison est effectuée soit par la remise directe du produit à l’acheteur, soit par simple avis de mise à disposition, soit par délivrance à un expéditeur ou à un transporteur dans les locaux du vendeur.
Le vendeur se réserve le droit d’effectuer la livraison de la marchandise avec une tolérance quantitative de plus ou moins cinq pour cent (5%).
L’acheteur s’engage à prendre livraison de la marchandise dans les 8 (huit) jours qui suivent l’avis de mise à disposition.
Ce délai expiré, le vendeur pourra décompter des frais de garde.
4.2. Délais 4.2.1.
Les délais de livraison sont indiqués aussi exactement que possible, mais sont fonction des possibilités d’approvisionnement et de transport, ainsi que de l’ordre d’arrivée des commandes.
Le vendeur est autorisé à procéder à des livraisons globales ou partielles.
Les dépassements de délai ne peuvent donner lieu à dommages et intérêts, à retenue, ni annulation de commandes. Le vendeur pourra être déchargé de son obligation de livraison en cas d’Intervention d’un cas de force majeure.
Seront notamment considérés comme cas de force majeure, sans que cette liste soit limitative: les guerres, émeutes, grèves, incendies, inondations, troubles politiques ou actions concertées du personnel chez les fournisseurs du vendeur ou les prestataires auxquels il recourt pour l'exécution des commandes.
4.2.2.
En toute hypothèse, la livraison dans les délais ne peut intervenir que si l’acheteur est à jour de ses obligations envers le vendeur, qu’elle qu’en soit la cause, et notamment celles résultant de l’article 2 ci-dessus.
4.3. Frais et risques
Les marchandises sont livrables à l’usine, conformément aux incoterms C.C.I. 2010, EX-WORKS.
Elles voyagent aux frais, risques et périls du destinataire, auquel II appartient, en cas d’avarie ou de manquant, de faire toute constatation nécessaire et de confirmer ses réserves par acte extrajudiciaire ou par lettre recommandée avec avis de réception auprès du transporteur, dans les 3 (trois) jours qui suivent la réception des marchandises, et plus généralement de prendre toute mesure appropriée de nature à sauvegarder le recours contre le transporteur. Lorsque, à titre exceptionnel, le transporteur est désigné par le vendeur, celui-ci agit pour le compte, aux frais et risques de l’acheteur.
Dans la même hypothèse, sauf instructions préalables et écrites de l’acheteur, renouvelées lors de chaque expédition, et dont la réception est confirmée par le vendeur, celui-ci n’est tenu de souscrire ni assurance, ni déclaration de valeur ou déclaration d’intérêt à la livraison pour le compte de l’acheteur quelle que soit la valeur des marchandises expédiées.
Les frais afférents aux prestations engagées par le vendeur pour le compte de l’acheteur seront intégralement refacturés à ce dernier.
En aucun cas le vendeur ne peut être tenu pour responsable du mode de paiement choisi et du tarif appliqué par le transporteur.
5 - RECEPTION ET RETOURS
5.1.
Sans préjudice des dispositions à prendre vis-à-vis du transporteur, les réclamations sur les vices apparents ou sur la non-conformité des marchandises livrées aux marchandises commandées ou au bordereau d'expédition doivent être formulés par écrit dans les 2 (deux) jours qui suivent la livraison du produit. Passé ce délai, aucune réclamation à ce titre ne sera admise.
L‘acheteur devra laisser toute facilité au vendeur pour procéder à la constatation de ces vices et pour y porter remède. Il s’abstient d’intervenir lui-même ou de faire intervenir un tiers à cette fin.
Tout retour de produit doit faire l’objet d’un accord formel entre le vendeur et l’acheteur; les frais et risques du retour sont toujours à la charge de l’acheteur.
5.2.
Au cas de vice apparent ou de non-conformité des marchandises livrées dûment constatés par le vendeur dans les conditions prévues par l’article 8, l'acheteur pourra en obtenir le remplacement gratuit, à l’exclusion de toute indemnité et de tous dommages et intérêts.
Si en revanche les recommandations formulées par l’acheteur sont injustifiées, le vendeur sera en droit de lui facturer tous les frais de déplacement, de contrôle des marchandises et de transport injustifiés.
6 - GARANTIE – EXCLUSIONS
6.1.
En sus de la garantie légale, les produits sont garantis dans la limite de la garantie offerte par le propre fabricant ou fournisseur du vendeur.
Au titre de cette garantie, la seule obligation incombant au vendeur sera le remplacement gratuit des pièces reconnues défectueuses par le service après-vente, à l’exclusion de tous dommages et intérêts à quelque titre que ce soit.
Les frais éventuels de port, d’emballage et de déplacement restent à la charge de l’acheteur. Les interventions au titre de la garantie ne sauraient avoir pour effet d’en prolonger la durée.
6.2.
Toute demande tendant à la mise en œuvre de la garantie contractuelle n’est recevable que si elle est formulée par écrit, et si l’acheteur est à jour de ses obligations financières à l’égard du vendeur.
Les défauts et détériorations provoqués par l’usure normale, par un accident extérieur, un raccordement non conforme aux règles de l’art, aux normes de protection et de sécurité, aux règlements en vigueur, par un montage erroné ou toute modification du produit, par des interventions de tiers, un entretien défectueux, ou encore par une modification du produit non prévue ni spécifiée par le vendeur, sont exclus de la garantie.
De même, la garantie ne jouera pas pour les vices apparents, dont l’acheteur devra se prévaloir dans les conditions stipulées à l'article 8.
7 - PRIX ET PAIEMENT
7.1.
Les produits sont fournis au prix en vigueur au jour de la commande. Les prix s’entendent nets, départ, emballage et assurances non compris.
Tous impôts, taxes, droits ou autres prestations à payer en application des règlements français ou de ceux d'un pays importateur ou de transit en vigueur au jour de la livraison sont à la charge de l‘acheteur.
7.2.
Les factures sont payables au xxxxx xx xxxxxxx 00 (xxxxxxxx) jours, date de la facturation, en euros, comme rappelé dans la facture, par xxxxxx, traite signée et acceptée avec dispense de dresser protet ou par tout autre mode de paiement convenu.
En cas de paiement par traites, l’acheteur est tenu de les retourner acceptées dans un délai maximum de 7 (sept) jours.
Constitue un paiement au sens des présentes C.G.V., non pas la simple remise d’un chèque ou d’un effet, mais son encaissement à l'échéance convenue.
7.3.
Toute détérioration du crédit de l’acheteur pourra justifier l’exigence de garanties ou d’un règlement comptant ou par traites payables à vue avant l’exécution des commandes reçues ou avant l’échéance des factures émises, de même que le vendeur se réserve le droit à tout moment, en fonction des risques encourus, de fixer un plafond au découvert de chaque acheteur, étant précisé que ces modalités sont valables pour toute commande en cours.
Le refus de l‘acheteur de satisfaire à ces conditions ouvre droit au vendeur, soit d’annuler tout ou partie des commandes, soit de prononcer l’exigibilité immédiate de toutes sommes dues.
7.4.
En cas de retard de paiement, le vendeur pourra suspendre toutes les commandes en cours, sans préjudice de toute autre voie d’action.
Toute somme impayée à l’échéance prévue donnera lieu de plein droit, et sans mise en demeure préalable, au paiement d’intérêts de retard égaux au taux d’intérêt appliqué par la Banque centrale européenne à son opération de refinancement la plus récente majorés de 10 points de pourcentage, augmentés d’une indemnité forfaitaire de 40 euros pour frais de recouvrement.
En cas de défaut de paiement quarante-huit heures après une mise en demeure restée infructueuse, la vente sera résolue de plein droit si bon semble au vendeur, qui pourra demander en référé la restitution de la marchandise, sans préjudice de tous autres dommages et intérêts.
La résolution frappera non seulement la commande en cause, mais également toutes les commandes antérieures, qu’elles soient livrées ou en cours de livraison et que leur paiement soit échu ou non.
En cas de paiement par traite, le défaut de retour sera considéré comme un refus d’acceptation assimilé à un défaut de paiement.
Le non-paiement d’une seule échéance entrainera l’exigibilité immédiate de la totalité de la dette, sans mise en demeure.
Il en est de même pour tout changement affectant la personnalité de l'acheteur ou le crédit de celui-ci.
Dans tous les cas qui précèdent, les sommes qui seront dues pour d’autres raisons ou pour toute autre cause deviendront immédiatement exigibles, si le vendeur n’opte pas pour la résolution des commandes correspondantes. L’acheteur devra rembourser tous les frais occasionnés par le recouvrement contentieux de sommes dues, outre une indemnité de vingt pour cent du montant impayé.
En aucun cas les paiements ne peuvent être suspendus ni faire l’objet d’une quelconque compensation sans l’accord écrit et préalable du vendeur.
Tout paiement partiel s’imputera d’abord sur les intérêts, puis sur les sommes dont l’exigibilité est la plus ancienne. Aucun retard ou défaut de paiement ne pourra être justifié à posteriori par une réclamation.
Enfin, il est expressément fait référence aux stipulations de l’article 2 des présentes.
8 - RESERVE DE PROPRIETE
Le vendeur se réserve la propriété de la marchandise livrée jusqu’au paiement intégral du prix par l’acheteur. Ce droit est reporté sur toute marchandise livrée par le vendeur, en stock chez l’acheteur.
L’acheteur est tenu de la conserver en parfait état et de l’assurer pour compte du propriétaire contre les risques habituels, dont notamment la perte, la destruction ou le vol, avec délégation de l’indemnité, en cas de sinistre, au bénéfice du vendeur.
Tout sinistre doit-être immédiatement signalé au vendeur.
L‘acheteur s’oblige à informer sans délai le vendeur en cas de redressement ou de liquidation judiciaire, en cas de saisie ou d’autre mesure émanant de tiers, et à lui indiquer les lieux exacts ou sont entreposés les marchandises livrées et non encore payées.
Il s’interdit de constituer toute sureté sur la marchandise livrée et impayée, et de manière générale d’effectuer toute opération susceptible de porter préjudice au droit de propriété du vendeur.
En cas de revente de la marchandise livrée, que l’acheteur y soit ou non autorisé, ce dernier déclare d’ores et déjà céder au vendeur la créance née de la vente à un sous-acquéreur et autoriser le vendeur à percevoir le prix dû par le sous-acquéreur à due concurrence de sa créance sur l'acheteur.
L’acheteur s'oblige à informer sans délai le vendeur de l’identité exacte et complète du sous-acquéreur, auquel il fera connaître la réserve de propriété du vendeur au plus tard au moment de la conclusion du contrat.
Toute violation par l’acheteur des obligations stipulées dans la présente clause ou dans les présentes conditions générales de vente sera sanctionnée de plein droit par la déchéance du terme.
La revendication par le vendeur de la marchandise dont la propriété lui est réservée s’effectue par lettre recommandée avec avis de réception adressée à l’acheteur, l’enjoignant de remettre le vendeur en possession.
Si l’acheteur ne défère pas à cette injonction, le vendeur pourra saisir la juridiction des référés de son siège social pour faire ordonner la restitution sous astreinte.
La revendication de la marchandise sous réserve de propriété ne constitue ni résolution, ni résiliation du contrat de vente.
La revendication peut être exercée par le vendeur en cas de non-respect par l’acheteur de l’une quelconque de ses obligations, et notamment en cas de non-acceptation d’une traite, et au cas où le vendeur aurait des raisons légitimes de penser que l’acheteur ne sera pas à même de respecter les échéances convenues.
Tous les frais entrainés par la revendication de la marchandise ou de son prix sont à la charge exclusive de l’acheteur.
9 - TRIBUNAUX COMPETENTS - LOI APPLICABLE
Toute contestation qui n’aura pu être réglée à l’amiable sera de la compétence exclusive des tribunaux du siège social du vendeur, à qui attribution de compétence est faite même en cas de pluralité de défendeurs ou d’appel en garantie, et quel que soit le mode de paiement.
Ils statueront en application du droit français.
1 - ENFORCEABILITY AND APPLICATION OF THE GCS’s
These conditions are sent or handed to each buyer to enable it to place an order. Consequently, the act of placing an order implies the buyer's complete and unreserved acceptance of these conditions, to the exclusion of any other documents such as prospectuses and catalogues, which are only provided for information purposes. No special conditions may, unless formally accepted in writing by the seller, prevail over them. Similarly, the buyer waives its own general conditions of purchase.
The fact that the seller does not avail itself at a given moment of one of these conditions cannot be interpreted as a renunciation of the right to avail itself of it later.
2 - FORMATION OF THE CONTRACT
The seller's offers are only valid for 1 month unless otherwise specified.
Orders are only definitively accepted once they have been confirmed in writing by the seller and, if applicable, after the payment of the agreed deposit.
Acceptance may, however, result from the dispatch of the goods.
An order that has become final cannot be cancelled; otherwise, the full price of the goods shall be invoiced to the buyer and shall be immediately due.
However, the seller reserves the right, in the event of a deterioration in the buyer's credit or if it has legitimate reasons to believe that it will be unable to pay the price on the agreed dates:
- either to cancel an order in progress, even if it has become final,
- or to require a serious guarantee or a payment before delivery, with it being specified that ‘payment’ is to be understood as referring to the deposit of the price.
The benefit of the order is personal to the buyer and cannot be transferred without the prior written consent of the seller.
3 - STUDY COSTS - TOOLS
The studies, formulations, projects, prototypes, samples, and related documents carried out or prepared by the seller and delivered to the buyer, shall remain the property of the seller.
They may not be used, reproduced, or communicated to third parties without the prior written authorisation of the seller. They may not be the subject of any protection conferred by an industrial property title, to the exclusion of the seller. A contribution to the tool costs shall be invoiced to the client, with the costs of studies and development remaining at the expense of the seller. Except in special cases, the tools produced under the responsibility of the seller shall become, in part and after payment, the property of the buyer in the seller's workshops.
The tools may not be used for the benefit of another company without the express permission of the client.
The client shall not claim back the tools, unless there is a duly noted defect. Otherwise, the buyer undertakes to pay, by way of compensation, an indemnity for study and development costs. The same compensation shall be payable when the production of the tools is not followed by the planned order within 6 (six) months.
In addition, for special production necessitating the acquisition of specific equipment, an additional indemnity shall be due, representing the purchase price of this equipment.
The tools shall remain in the seller's workshops; the latter shall ensure their maintenance and servicing. It is the responsibility of the latter to insure the tools against any risk of damage or destruction.
If no order for a tool is registered for a period of 2 (two) years, the seller reserves the right, after having sent a formal notice by registered letter with acknowledgement of receipt, the right to dispose of that tool without any justification, and if necessary, to destroy it.
Payment for tools: 1/3 when ordering, 1/3 when approved, 1/3 when the first serial delivery is made.
4 - DELIVERY
4.1. Terms
Delivery is carried out either through the direct handover of the product to the buyer, or through a simple notification of availability, or through delivery to a shipper or carrier at the seller's premises.
The seller reserves the right to deliver the goods with a quantitative tolerance of plus or minus five percent (5%). The buyer undertakes to take delivery of the goods within 8 (eight) days of the notification of availability.
Once this period has expired, the seller may deduct custody costs.
4.2. Deadlines
4.2.1.
Delivery deadlines are indicated as accurately as possible, but are subject to availability and transport capabilities, as well as the order of arrival of orders.
The seller is entitled to carry out complete or partial deliveries.
Exceeding the deadline shall not give rise to damages, deductions, or the cancellation of orders. The seller may be discharged from its obligation to deliver in the event of the occurrence of a case of force majeure, including but not limited to: wars, riots, strikes, fires, floods, political unrest, or concerted action by employees of the suppliers or contractors of the seller that it uses for the execution of orders.
4.2.2.
In any event, on-time delivery can only be carried out if the buyer is up to date with its obligations towards the seller, whatever be their cause, and in particular those resulting from Article 2 above.
4.3. Costs and risks
The goods shall be deliverable at the factory in accordance with the I.C.C. Incoterms®, EX-WORKS.
They shall be transported at the expense, risk, and peril of the consignee, who shall be responsible, in the event of damage or shortage, for making all the necessary observations and expressing its reservations to the carrier by means of extrajudicial documents or by means of a registered letter with an acknowledgement of receipt within 3 (three) days of the receipt of the goods, and more generally to take all appropriate measures to safeguard the right to take recourse against the carrier.
Where, exceptionally, the carrier is appointed by the seller, the latter shall act on behalf of and at the expense and risk of the buyer.
In the same situation, unless the buyer gives prior written instructions, which must be renewed at the time of each shipment, and the receipt of which must be confirmed by the seller, the latter is not obligated to take out any insurance, declaration of value, or declaration of interest on delivery on behalf of the buyer, irrespective of the value of the goods shipped.
The costs of the services provided by the seller on behalf of the buyer shall be invoiced in full to the latter.
In no case can the seller be held responsible for the method of payment chosen and the rate applied by the carrier.
5 - RECEIPT AND RETURNS
5.1.
Without prejudice to the measures to be taken with regard to the carrier, complaints about apparent defects, the non- conformity of the delivered goods with respect to the ordered goods, or the delivery note must be formulated in writing within 2 (two) days following the delivery of the product. After this period, no claims in this respect shall be accepted. The buyer shall give the seller every opportunity to ascertain such defects and to remedy them. It shall refrain from intervening on its own or having a third party intervene for this purpose.
Any return of products must be formally agreed on between the seller and the buyer; the costs and risks of return shall always be borne by the buyer.
5.2.
In the event of an apparent defect or non-conformity of the goods delivered, duly noted by the seller under the conditions set out in Article 8, the buyer may obtain free replacements for them, excluding any compensation and any damages and interest.
If, on the other hand, the recommendations made by the buyer are unjustified, the seller shall be entitled to charge the buyer for all unjustified travel, goods inspection, and transport costs.
6 - GUARANTEE - EXCLUSIONS
6.1.
In addition to the legal guarantee, the products are guaranteed within the limits of the guarantee offered by the manufacturer or supplier of the seller.
Under this guarantee, the only obligation incumbent on the seller shall be the free replacement of parts recognised as being defective by the after-sales service, to the exclusion of all damages on any grounds whatsoever.
Any postage, packaging, and transport costs shall be borne by the buyer. Operations carried out under the guarantee shall not have the effect of extending the duration of the guarantee.
6.2.
Any request for the implementation of the contractual guarantee shall be admissible only if it is made in writing, and if the buyer is up to date with its financial obligations with respect to the seller.
Defects and deterioration caused by normal wear and tear, external accidents, a connection that does not conform to the best practices, protection and safety standards, or regulations in force, by erroneous assembly or any modification of the product, by third party interventions, improper maintenance, or by a modification of the product that was not provided for or specified by the seller, are excluded from the guarantee.
Likewise, the guarantee shall not apply to visible defects, which the buyer shall have to invoke under the conditions stipulated in Article 8.
7 - PRICES AND PAYMENT
7.1.
The products are provided at the prices in force on the day of the order. The prices are net prices, excluding shipping, packaging, and insurance.
Any taxes, duties, or other benefits payable under French regulations or those of an importing country or country of transit applicable on the day of delivery shall be borne by the buyer.
7.2.
Invoices are payable at the seller's registered office 60 (sixty) days after the date of invoicing, in euros, as stated in the invoice, by cheque, a signed and accepted bill of exchange with dispensation to draw up a protest, or by any other method of payment agreed on.
In case of payment by bills of exchange, the buyer is obligated to accept and return them within a maximum period of 7 (seven) days.
For the purposes of these GCS’s, payment does not mean the mere handing over of a cheque or bill of exchange, but its deposit on the agreed date.
7.3.
Any deterioration in the buyer's credit may justify the requirement of guarantees or payment in cash or by bills of exchange payable on demand before the execution of orders received or before the due date of the invoices issued, and the seller shall reserve the right to set, at any time, depending on the risks involved, a ceiling on each buyer's overdraft, with it being specified that these terms and conditions shall be valid for all orders in progress.
Refusal by the buyer to comply with these conditions shall entitle the seller to either cancel all or part of the orders, or to demand the immediate payment of all amounts due.
7.4.
In the event of late payment, the seller may suspend all outstanding orders, without prejudice to any other remedy. Any sum that is unpaid on the due date shall automatically, and without prior notice, give rise to the payment of interest on arrears equal to the interest rate applied by the European Central Bank to its most recent refinancing operation increased by 10 percentage points, plus a fixed penalty of 40 euros for collection costs.
In the event of non-payment forty-eight hours after a formal notice that has remained unsuccessful, the sale shall be cancelled automatically at the discretion of the seller, who may request the return of the goods in summary proceedings, without prejudice to any other damages.
The cancellation shall not only affect the order in question, but also all previous orders, whether delivered or in the process of being delivered and whether or not payment is due.
In the case of a payment via a bill of exchange, a failure to return it shall be considered as a refusal to accept it and shall be considered as a failure to pay.
The non-payment of a single instalment shall result in the entirety of the sums owed becoming due, without any notice of default.
The same shall apply to any change in the buyer's character or credit.
In all the foregoing cases, any sums due for other reasons or for any other cause shall become immediately payable, if the seller does not opt to cancel the corresponding orders.
The buyer shall reimburse all costs incurred in the legal recovery of sums due, in addition to a compensation of twenty percent of the unpaid amount.
Under no circumstances may payments be suspended or offset in any way without the prior written consent of the seller.
Any partial payment shall be applied first to the interest and then to the sums that were due the earliest. No delay or failure to pay may be justified after the event by means of a claim.
Lastly, express reference is made to the provisions of Article 2 hereof.
8 - RETENTION OF TITLE
The seller shall retain the ownership of the delivered goods until the buyer has paid the price in full. This right shall be transferred to all goods delivered by the seller and held in stock by the buyer.
The buyer shall be obligated to keep the goods in perfect condition and to insure them for the owner against the usual risks, including loss, destruction, or theft; the indemnity shall be delegated to the seller in the event of loss or damage. The seller must be notified immediately of any loss or damage.
The buyer is obligated to inform the seller without delay in the event of receivership or liquidation, and in the event of attachment or any other measures taken by third parties, and to indicate to the seller the exact location of goods that have been delivered but not yet paid for.
It shall refrain from constituting any security on goods that are delivered and unpaid, and in general from carrying out any operation that may prejudice the seller's right of ownership.
In the event of the resale of the delivered goods, whether or not the buyer is authorised to do so, the latter hereby declares that it shall transfer to the seller the claim arising from the sale to a sub-buyer and shall authorise the seller to collect the price due from the sub-buyer to the extent of its claim towards the buyer.
The buyer undertakes to inform the seller without delay of the exact and complete identity of the sub-buyer, which it shall inform of the seller's retention of ownership at the latest at the time of the conclusion of the contract.
Any violation by the buyer of the obligations stipulated in this clause or in these general conditions of sale shall be sanctioned by the automatic forfeiture of the term.
The seller's claim to the goods whose ownership is reserved by it shall be made by means of a registered letter with an acknowledgement of receipt addressed to the buyer, enjoining it to give the seller possession.
If the buyer does not comply with this injunction, the seller may refer the matter to the summary jurisdiction of its registered office in order to have restitution ordered under penalty.
A claim to the goods that are subject to the retention of ownership shall not constitute a rescission or cancellation of the contract of sale.
The seller may make a claim in the event of the buyer's failure to comply with any of its obligations, in particular in the event of non-acceptance of a bill of exchange, and in the event that the seller has legitimate reasons to believe that the buyer will not be able to meet the agreed deadlines.
All costs resulting from a claim over the goods or their price shall be borne exclusively by the buyer.
