Common use of Security Clause in Contracts

Security. To establish technical and organizational measures necessary to protect Personal Data from unauthorized or unlawful processing and accidental loss, destruction, damage, alteration or disclosure, and to ensure the confidentiality of Personal Data and to ensure that Personal Data is not disclosed contrary to the provisions of this Agreement, Partner shall without limiting the foregoing, implement and/or maintain a program relating to data security, and implement additional measures that include appropriate administrative, technical, physical and other security provisions that are designed to: (a) comply with applicable data protection law; (b) ensure the security, confidentiality and integrity of Personal Data; (c) defend against any potential threats or hazards to the security, confidentiality and integrity of Personal Data; and (d) protect against unauthorized access to or use of Personal Data that could result in the destruction, use, alteration or disclosure of Personal Data, or substantial damage or inconvenience to the Company or any other person. The technical or organizational measures shall be appropriate to the sensitivity of the personal data contained in the Personal Data and to the damage that could result from any unauthorized or unlawful processing and accidental loss, destruction or damage of the Personal Data and having regard to the nature of the Personal Data that must be protected. The Partner acknowledges that the Company relies on the Partner's knowledge and skill to assess what is "appropriate" to protect Personal Data from unauthorized or unlawful processing and accidental loss, destruction, damage, modification or disclosure.
