The parties to this litigation (each a Party and, collectively, the Parties), by and through their undersigned attorneys, have reached an agreement for the settlement of the above-captioned matter styled In re: Activision Blizzard, Inc. Stockholder Litigation, filed in the Court of Chancery of the State of Delaware (the Court), Consolidated C.A. No. 8885-VCL (the Action)1 and related matters on the terms set forth below (the Settlement) and subject to Court approval pursuant to Court of Chancery Rules 23 and 23.1.
