This Agreement is made this 23rd day of February, 2015, by and between Wisconsin Energy Corporation ("Company") and Northern Trust Company ("Trustee"). Company and Trustee may be referenced to collectively as "Parties" and individually as a "Party."

Your Employment Offer Letter Dated December 20, 2010 (The "Employment Letter") Dear Pat, (February 27th, 2013)
This letter modifies the terms of your Employment Letter as they relate to your Supplemental Pension Benefit. Specifically, as you know, you are eligible to participate in the Wisconsin Energy Corporation Supplemental Pension Plan (the SPP), which provides for a supplemental pension benefit that recognizes compensation in excess of IRS limits that apply to the Company's Retirement Account Plan (the RAP). This supplemental pension benefit is subject to all the terms of the SPP and will be paid to you in accordance with the SPP. The additional supplemental pension benefit set forth in your Employment Letter will also be paid to you in accordance with the SPP.

On behalf of Wisconsin Energy Corporation, I am pleased to confirm the offer of employment I have extended to you for the position of Vice President and Treasurer of Wisconsin Energy Corporation reporting to Mr. Allen Leverett, Executive Vice President and Chief Financial Officer. Your start date will be mutually agreed to at a later date but is expected to be no later than April 30, 2011.
