Severance Agreement (June 21st, 2017)
This Severance Agreement (Agreement) is between Animal Health International, Inc., on behalf of itself, its parent, subsidiaries, and affiliated entities (collectively referred to herein as the Company), and John E. Adent (referred to herein as the Employee) (The Company and the Employee are collectively referred to herein as the Parties). This Agreement is effective seven (7) days from the date on which it is signed by all Parties hereto.

This Amended and Restated Credit Agreement, dated as of January 27, 2017 (as it may be amended, restated, supplemented or otherwise modified from time to time), is entered into by and among Patterson Companies, Inc., a Minnesota corporation, as the Borrower, the Lenders from time to time party hereto and The Bank of Tokyo-Mitsubishi UFJ, Ltd., as Administrative Agent.

This Incentive Program is designed to include designated employees across the organization. Incentive opportunity for targeted groups of employees is specified in the Plan schedules attached to this document. Newly hired, transferred, or employees who become participants during the Plan year will be eligible on a prorated basis under the respective schedule.
