This Agreement (the Agreement) is made between Red Hat, Inc., a Delaware corporation (collectively with each of its subsidiaries, the Company), and Eric R. Shander (Employee), a U.S. employee (as shown on the Companys payroll records on the Effective Date (as defined below)) who has been selected by the Companys Chief People Officer for participation in the Red Hat, Inc. Designated U.S. Manager Severance Plan (the Severance Plan) as of November 24, 2015 (the Effective Date).
Cash Retention Agreement (April 26th, 2017)
This letter, upon your countersignature below, sets forth our agreement with you concerning the potential for you to receive payment in connection with your employment by Red Hat, Inc. (or the Company).
Effective January 20, 2017, You Will Temporarily Report Directly to Jim Whitehurst, Red Hat, Inc.s Chief Executive Officer (CEO). For the Period of Time That You Report Directly to Red Hats CEO, You Will Be Eligible for Benefits Under Red Hats Senior Management Change in Control Severance Policy (The CIC Severance Policy), a Copy of Which Has Been Provided to You, With the Exception of Section 5 of the CIC Severance Policy Entitled Additional Payment, Which Shall Not Be Applicable to You and Is Deleted in Its Entirety. When signed by both parties, this letter will constitute an agreement between you and Red Hat, Inc., effective as of the date set forth above

This letter, when signed by both parties, constitutes an Agreement between Red Hat, Inc. and its successor (Red Hat or the Company) and you under which you, as an independent contractor, will furnish certain consulting services to Red Hat (the Agreement).
