Orbitz Worldwide, Inc. – Amendment #2 to Letter Agreement, dated June 23, 2009, between Orbitz Worldwide, Inc. and Roger Liew, as amended (August 8th, 2013)

Reference is made herein to that certain letter agreement, dated June 23, 2009, by and between you and the Company (as defined below) (as amended prior to the date hereof, the “Letter Agreement”). We are pleased to inform you that the Compensation Committee has approved the severance and Change in Control benefits as set forth below, effective as of January 1, 2012.

Orbitz Worldwide, Inc. – Letter Agreement, dated June 23, 2009, between Orbitz Worldwide, Inc. and Roger Liew (March 5th, 2013)

On behalf of Orbitz Worldwide, Inc. (together with its subsidiaries, collectively, the “Company”), I am pleased to confirm our offer to you a position as Vice President of Technology, based in Chicago, Illinois, and reporting to a to be named Chief Technology Officer. Your start date will be June 15, 2009. Your annual salary will be $225,000 with a bi-weekly pay rate of $8653.85.

Orbitz Worldwide, Inc. – Addendum to Offer Letter (March 5th, 2013)

This Addendum to the offer letter sent to Roger Liew (“Employee”), dated June 9, 2009, from Kristin Dickey at Orbitz Worldwide, Inc. (the “Offer Letter”) is entered contemporaneously with the Offer Letter and supplements the Offer Letter. This Addendum is entered into as of the Addendum Effective Date set forth in the signature block below. Capitalized terms used herein but not otherwise defined shall have their respective meanings set forth in the Offer Letter. This Addendum incorporates by reference the terms and conditions of the Offer Letter.
