This note is given pursuant to the Loan Agreement of even date between Borrower and Lender, as amended from time to time (Loan Agreement) and is subject to the provisions thereof. The definitions in the Loan Agreement shall be applicable to any capitalized terms herein that are not otherwise defined herein. If there is any conflict between the terms of the Loan Agreement and the terms of this note, the provisions of the Loan Agreement shall control.
Multifamily Note (May 9th, 2007)
FOR VALUE RECEIVED, the undersigned (Borrower) jointly and severally (if more than one) promises to pay to the order of CAPMARK BANK, a Utah industrial bank, the principal sum of Ten Million Three Hundred Fifteen Thousand and 00/100 Dollars (US $10,315,00.00), with interest accruing at the Interest Rate on the unpaid principal balance from the Disbursement Date until fully paid.

THIS LOAN AGREEMENT (this Agreement) is made as of December 29, 2004, by and between TRIAD SENIOR LIVING I, L.P., a Texas limited partnership, TRIAD SENIOR LIVING, L.P., a Texas limited partnership, TRIAD SENIOR LIVING IV, L.P., a Texas limited partnership, TRIAD SENIOR LIVING V, L.P., a Texas limited partnership, CAPITAL SENIOR LIVING A, INC., a Delaware corporation and CAPITAL SENIOR LIVING ILM-B, INC., a Delaware corporation (together with their successors and assigns, Borrowers, and, individually, a Borrower), and GMAC COMMERCIAL MORTGAGE CORPORATION, a California corporation (together with its successors and assigns, Lender).
