This Stipulation of Settlement dated as of May 4, 2010 (the Stipulation) is submitted pursuant to Rule 23 of the Federal Rules of Civil Procedure. Subject to the approval of the Court, this Stipulation is entered into by and among Lead Plaintiff, State Plaintiff, the GT Solar Defendants, and the Underwriter Defendants, each as hereinafter defined, by and through their respective counsel. Lead Plaintiff is plaintiff Arkansas Public Employees Retirement System (APERS). State Plaintiff is plaintiff Joyce T. Hamel. Lead Plaintiff and State Plaintiff together are the Plaintiffs. As discussed, this letter amends certain provisions of the letter agreement dated August 8, 2006 between you and GT Solar Incorporated, formerly GT Equipment Technologies, Inc., ("Letter Agreement").
Guaranty (June 6th, 2008)
This GUARANTY ("Guaranty"), dated as of April 1, 2006 is made by GT Solar Holdings, LLC, a Delaware Limited Liability company, and GT Equipment Holdings, Inc., a Delaware corporation (each a "Guarantor" and collectively, the "Guarantors") in favor of the persons listed on Schedule I attached to this Guaranty (together, the "Lender"), and their respective permitted assigns and successors, with reference to the following facts:
