This AMENDMENT NO. 1 (this Amendment), dated as of May 14, 2007, by and between First Albany Companies Inc., a New York corporation (the Company) and American Stock Transfer & Trust Company, as rights agent (the Rights Agent), to the Rights Agreement, dated as of March 30, 1998 (the Rights Agreement). Capitalized terms used in this Amendment without definition shall have the meanings given to them in the Rights Agreement.
