As you know, your employment with MakeMusic, Inc. (MakeMusic) will end effective at the close of business on December 31, 2008 as a result of your resignation. The purpose of this Separation Agreement and Release letter (Agreement) is to set forth the specific separation pay and benefits that MakeMusic has agreed to provide to you, provided you agree to the terms and conditions of this Agreement.
MakeMusic, Inc. 2008 Executive Compensation Plan (May 9th, 2008)
The Compensation Committee (the Committee) of MakeMusic, Inc. (the Company) has approved a 2008 Executive Compensation Plan (the Plan), which is designed to provide annual incentive awards to certain key employees (Participants) based on the achievement of financial objectives. Incentive awards will be comprised of cash, restricted stock units and, at the Committees discretion, option grants. The maximum annual incentive to which each Participant is entitled will vary based upon the percentage achievement of certain incentive factors established by the Committee, in relation to annual performance targets established by the Board of Directors.

The purpose of this Separation Agreement and Release letter ("Agreement") is to set forth the specific separation pay that MakeMusic will provide you pursuant to Section 3.02(d) of your Employment Agreement with MakeMusic dated June 9, 2004 (your "Employment Agreement"), provided you agree to the terms and conditions of this Agreement.
