EL PROVEEDOR definition

EL PROVEEDOR shall modify the guarantee previously granted with respect to the obligations contacted in the original contract, for which it shall submit to "THE SECRETARIAT" the corresponding additional bond policy. If the policy is not presented within a period of 10 (ten) calendar days following die signing of this instrument, "THE SECRETARIAT" may declare this Modification Agreement administratively terminated.

EL PROVEEDOR. B) SUPPLIER declares:

EL PROVEEDOR expresamente reconoce y declara que tiene y mantendrá en todo momento elementos materiales y financieros propios y suficientes para cumplir con sus obligaciones en términos de los artículos de la Ley Federal del Trabajo, la Ley del Seguro Social, la Ley del Instituto del Fondo Nacional de la Vivienda para los Trabajadores, la Ley del Instituto del Fondo Nacional para el Consumo de los Trabajadores y las leyes fiscales aplicables con relación al personal que utilice para la prestación de los Servicios y adicionalmente reconoce expresamente que será el único y exclusivo responsable de todas las obligaciones, compromisos y responsabilidades que deriven de la prestación de los Servicios a “HP MEXICO”. Adicionalmente “EL PROVEEDOR” declara y garantiza a “HP MEXICO” que se encuentra y continuará al corriente de todas sus obligaciones laborales, fiscales y de seguridad social ante sus empleados y ante las autoridades correspondientes. SUPPLIER expressly acknowledges and declares that it has and will maintain at all times its own tangible and financial elements sufficient to fulfill its obligations with regard to the articles of the Federal Labor Law, the Social Security Law, the Law of the Institute of the National Housing Fund for Workers, the Law of the Institute for the National Fund for Employee Consumption, and the applicable tax laws in relation to the employees used to provide the Services and additionally expressly acknowledges that it will be solely and exclusively responsible for all obligations, commitments, and responsibilities that derive from the provision of the Services to HP MEXICO. Additionally, SUPPLIER declares and guarantees to HP MEXICO that it is and will continue to be current on all its labor, tax, and social security obligations to its employees and the proper authorities.

EL PROVEEDOR adicionalmente se obliga a exhibir a “HP MEXICO” en adición a la información detallada en la Cláusula Sexta, o a quien “HP MEXICO” razonablemente determine, periódicamente o en cualquier momento frente a solicitud de éste, los documentos, registros y evidencia de cumplimiento de lo anterior. Additionally, SUPPLIER must indemnify, release, and keep HP MEXICO safe from any demand, claim, fine, or penalty of a labor, administrative, tax, or social security nature that could be made against HP MEXICO by SUPPLIER's employees or in relation to their employment with it or by the proper authorities derived from SUPPLIER's violation of its obligations. SUPPLIER additionally must provide to HP MEXICO, in addition to the information detailed in the Sixth Clause, or to the person reasonably determined by HP MEXICO, periodically or at any time at the latter's request, the documents, records, and evidence of compliance with the aforesaid. Sin perjuicio de lo establecido anteriormente si “HP MEXICO” llegara a ser demandada por alguno de los ejecutivos, empleados, trabajadores, agentes, socios o profesionistas de “EL PROVEEDOR”, “EL PROVEEDOR” se obliga a asumir o reembolsarle a la “HP MEXICO” por el total de los gastos incurridos en la defensa y atención de tales acciones. Para estos efectos, “HP MEXICO” dará aviso a “EL PROVEEDOR” de cualquier demanda tan pronto tenga conocimiento de la misma con la finalidad de que “EL PROVEEDOR” pueda asumir la responsabilidad sobre la misma y le proporcionará toda la información y documentación necesaria para la adecuada defensa, en el entendido de que “HP MEXICO” podrá optar por ser representada por los abogados de “EL PROVEEDOR” o por sus propios abogados. Notwithstanding the above, if HP MEXICO is sued by any of the executives, employees, workers, agents, associates, or professionals of SUPPLIER, SUPPLIER must assume or reimburse HP MEXICO for the total expenses incurred in the defense of and attention to such actions. EL PROVEEDOR tendra la obligaclon de presentar dentro de los primeros 5 (cinco) xxxx habiles de cada mes la lista que identifique los entregables, de manera pormenorizada y desglosada a satisfacciOn de la DirecpiOn General de Consultorla Jurldica de Comercio Internacional de “LA SECRETARIA”, sehalando todos los servicios y gastos incurridos. El monto que “LA SECRETARIA” pagara por los servicios objetO del Anexo Tecnico, sera el importe total a pagar, presentOndolo debidamente desglosado. El monto del pago sera en la moneda cotizada y se solventara pagando su equivalente en rhoneda nacional al tipo de cambio vigente que establezca el Banco de Mexico a la fecha de pago de los servicios. Las facturas y reportes seran validados por los mandos medios adseritos a la DGCJCI con la autorizacidn del Director General de Consultorla Jurldica de Comercio Internacional. Asimismo, el area requirente, a traves del Adrninistrador del Instrumento Juridico o eh su defecto, la CoordinaciOn Administrativa, seran los responsables de verificar que “EL PROVEEDOR” haya entregado previo al tramite de pago la garantla de cumplimiento. Una vez que la garantla haya sido entregada en la Direccion de contratos de la Direccion General de Recursos Materiales y Servicios Generates (DGRMSG), sera procedente el pago.
