  • At the Closing, Zurvita shall deliver to the Company copies of all Consents required to be obtained by Zurvita in connection with the transactions contemplated by the Transaction Documents (including the Consents, if any, identified in Schedule 2.10 of Zurvita Disclosure Schedule).

  • Except as set forth on Schedule 2.4 of the Zurvita Disclosure Schedule, no broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Share Exchange or any of the other transactions contemplated by the Transaction Documents based upon any arrangements or agreements made by or on behalf of Zurvita.

  • Parent Disclosure Schedule means the disclosure schedule dated the date hereof regarding this Agreement that has been provided by Parent to the Company.

  • Previously Disclosed means information set forth or incorporated in the Company’s Annual Report on Form 10-K for the most recently completed fiscal year of the Company filed with the Securities and Exchange Commission (the “SEC”) prior to the Signing Date (the “Last Fiscal Year”) or in its other reports and forms filed with or furnished to the SEC under Sections 13(a), 14(a) or 15(d) of the Securities Exchange Act of 1934 (the “Exchange Act”) on or after the last day of the Last Fiscal Year and prior to the Signing Date.
