Your Material definition

Your Material means any information, document, electronic image, cinematographic film, video, equipment, software or data stored by any means which is created by You or on Your behalf in performing the Services under the Service Agreement.
Your Material means any Intellectual Property Rights created, written, developed or otherwise brought into existence by You prior to this Agreement or during the course of this Agreement.
Your Material means any material(s) in any form that you may provide to us (including any trademarks), whether the IPR in that is owned or controlled by you or otherwise; (xxiii) Website(s) means the Customer website(s) delivered using the ▇▇▇▇▇▇▇.▇▇ Intelligence platform; and (xxiv) Work(s) means any material(s) in any format or media we create as part of the Service(s) excluding any Background IPR. 19.2 Unless the context otherwise requires, in the Agreement words in the singular include the plural and in the plural include the singular, and the words "includes" or "including" shall be construed as illustrative only and shall not limit the generality of the preceding words. Headings are for convenience only and do not affect the interpretation of any clause or paragraph. References to a person includes its legal personal representatives, successors and assigns. A reference to any statute, enactment, order, regulation or other similar instrument shall be construed as a reference to the statute, enactment, order, regulation or instrument as amended, extended or re- enacted from time to time If there is any conflict or inconsistency between these Standard Terms of Business, an Appendix and a Customer Services Schedule, the following order or precedence shall apply to the extent of that conflict or inconsistency: (i) these Standard Terms of Business; (ii) an Appendix; and (iii) a Customer Services Schedule.

Examples of Your Material in a sentence

  • We shall use Our reasonable endeavours to agree a date for the installation of the System with You but any date is an estimate only and shall be subject to You and/or any relevant third parties acting on Your behalf performing any necessary acts and/or, where necessary, supplying Your Material and facilities in due time to enable the delivery of the Equipment and the performance of the Installation Services.

  • You further understand and agree that, to the extent required by applicable laws, rules, and regulations, it is your responsibility to notify your clients that their data, as part of or incorporated in Your Material, may be stored in countries outside of your and/or their country.

  • To the maximum extent permitted by law, you agree to defend, indemnify and hold harmless Sage, its affiliates and their respective directors, officers, employees and agents from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorney fees) arising out of or accruing from your use of Sage View, Your Material or your violation of these Terms.

  • Your Material and all Content includes but is not limited to your remarks, suggestions, comments, recordings, images, documents, proposals, ideas, expression of ideas, graphics, audio, video, photographs, or other materials you submit.

  • You understand and agree that Your Material, including any personal information you provide and your clients’ data as part of or incorporated in Your Material, may be stored in countries outside of your country.

  • To the extent reasonably required to allow us to perform and/or deliver the Services, you grant to us a non-exclusive, irrevocable, worldwide, royalty-free licence to exercise and sub- license the Intellectual Property Rights in any of Your Material in connection with us providing any Services to you.

  • Your Material shall not contain viruses or cause injury or harm to any person or entity; and you will comply with all applicable laws and regulations, including without limitation, those governing copyright, content, defamation, privacy, publicity and the access or use of others' computer or communication systems.

  • Your Material becomes the property of the NRL without any obligation to you and you are not entitled to any compensation or remuneration or reimbursement of any kind from the NRL under any circumstances.

  • Please note that this support does do not include support for your environment, hardware, Your Material or Third Party Material.

  • For the avoidance of doubt we do not accept any liability arising from the use of Your Material.


More Definitions of Your Material

Your Material means the Bespoke Notes and Bespoke Reports, as applicable, uploaded by you to Greenlight.
Your Material means any material or data you provide to us or use in connection with the Solution.
Your Material means any material provided by or to which access is given to Smart Cities by you, any of your end users or anyone acting on behalf of you or any of your end users for the purposes of this agreement including documents, equipment, reports, technical information, studies, plans, charts, drawings, calculations, tables, trade marks, logos, schedules and data stored by any means.

Related to Your Material

  • Cover material means soil placed over a soil dispersal component composed predominately of mineral material with no greater than ten percent organic content. Cover material may contain an organic surface layer for establishing a vegetative landscape to reduce soil erosion.

  • Supplier Materials has the meaning given in clause 8.1(h).

  • Customer Materials any materials, data, information, software, equipment or other resources owned by or licensed to You and made available to Us pursuant to facilitating Your use of the Services, including Customer Data.

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the JBE Materials or Confidential Information.

  • Publicity Material means the promotional gifts, catalogues, pamphlets and all and any advertising and publicity material whatsoever which an Exhibitor wishes to display, distribute or use at the Exhibition.
