Xxxxxxxx Family means Xxxxxxx Xxxxxxxx, Xxxxxxx Xxxxxxxx and/or their lineal descendants, individually or collectively and/or any trusts for the exclusive benefit of any one or more of such persons.
Xxxxxxxx Family means (a) Xxx Xxx or Xxxxx Xxxxxxxx, or the estate of Xxx Xxx Xxxxxxxx or Xxxxx Xxxxxxxx and (b) any trust or other arrangement for the benefit of a Xxxxxxxx.

Xxxxxxxx Family. (a) Xxx Xxx Xxxxxxxx or Xxxxx Xxxxxxxx, or any descendent of Xxx Xxx Xxxxxxxx or the spouse of such descendent, the estate of Xxx Xxx Xxxxxxxx, Xxxxx Xxxxxxxx, any descendent of Xxx Xxx Xxxxxxxx or the spouse of such descendent (each, a “Xxxxxxxx”), (b) any trust or other arrangement for the benefit of a Xxxxxxxx, any trust established by a Xxxxxxxx or any trustee, custodian, fiduciary or foundation which will hold the common stock of the Parent for charitable purposes or for the benefit of any Xxxxxxxx and (c) any Person at least 80% beneficially owned and controlled by one or more Mitchells.
Xxxxxxxx Family means, collectively: (a) the lineal descendants by blood or adoption of E.T. Xxxxxxxx (“descendants”), and the spouses and surviving spouses of such descendants; (b) any estate, trust, guardianship, custodianship or other fiduciary arrangement for the primary benefit of any one or more individuals described in clause (a) of this definition; and (c) any corporation, partnership, limited liability company or other business organization so long as (i) one or more individuals or entities described in clause (a) or clause (b) of this definition possess, directly or indirectly, the power to direct or cause the direction of the management and policies of such corporation, partnership, limited liability company or other business organization, and (ii) substantially all of the ownership, beneficial or other Equity Interests in such corporation, partnership, limited liability company or other business organization are owned, directly or indirectly, by one or more individuals or entities described in clause (a) or clause (b) of this definition.
Xxxxxxxx Family means, collectively, (a) the Eskenazis, (b) the spouse or any lineal descendant (including adopted children) of any of the Eskenazis (collectively, the “Spouses and Descendants”), (c) any trust solely for the benefit of any one or more of the Eskenazis or any of the Spouses and Descendants, (d) any family trust, partnership or limited liability company established solely for the benefit of any one or more of the Eskenazis or any of the Spouses and Descendants, or for estate planning purposes, of any of the Eskenazis and (e) the heirs, executors, administrators, guardian or conservator of an Xxxxxxxx or of a trust under any of an Xxxxxxxx’x will and following the death or disability of that Eskenazi.

Xxxxxxxx Family means each member of the family of XxXxxxxx, each affiliate (as that term is defined under Rule 12b-2 under the Securities Exchange Act of 1934, as amended) of XxXxxxxx, and any entity (including trusts) in which XxXxxxxx or any member of his family owns in excess of a five percent (5%) beneficial interest or over which XxXxxxxx or any member of his family has the power to exercise control. A "member of the family" includes any person related directly or indirectly, by blood, marriage, adoption or any combination thereof, to XxXxxxxx or Xxxxx X. XxXxxxxx. For purposes of this Agreement, the term "Affiliate" shall have the meaning attributed thereto under Rule 12b-2 under the Securities Exchange Act of 1934, as amended.
