Xxxxxxx Shareholders definition

Xxxxxxx Shareholders means the holders of Xxxxxxx Shares;

Xxxxxxx Shareholders means the entities listed on the signature pages hereto under the heading “Xxxxxxx Shareholders”, in addition to their respective successors and permitted assigns.

Xxxxxxx Shareholders means, collectively, MG Family Limited Partnership and MSI 2011 LLC and any of their respective Permitted Transferees.

• As of the date of this Agreement, such Xxxxxxx Shareholder has sole legal and beneficial ownership of the Xxxxxxx Shareholder Shares set forth opposite such Shareholder’s name on Schedule A hereto, and all such Xxxxxxx Shareholder Shares are owned by such Shareholder free and clear of all Liens, other than Permitted Liens, Liens pursuant to the Xxxxxxx Shareholders Agreement, the Xxxxxxx Governing Documents or applicable federal or state securities Laws.
