Xxxx Shares definition

Xxxx Shares means the Firm St. Xxxx Shares, the Optional St. Xxxx Shares and any Common Shares issuable to St. Xxxx pursuant to Section 2.04(b) of this Agreement collectively.

Xxxx Shares means the Twenty-Two Million Five Hundred Thousand (22,500,000) shares of Common Stock, representing Xxxx’x entire ownership interest in the Company, that will be forfeited and returned to the Company by Xxxx at the First Closing.

Xxxx Shares means (i) any Common Stock issued to the Xxxx Group pursuant to the Recapitalization Agreement, (ii) any shares of Common Stock otherwise acquired by the Xxxx Group and (iii) any equity securities issued or issuable directly or indirectly with respect to the Common Stock referred to in clauses (i) or (ii) by way of stock dividend or stock split or in connection with a combination of shares, recapitalization, merger, consolidation or other reorganization.

Examples of Xxxx Shares in a sentence

• Xxxx is the beneficial owner and holder of record of 9,000,000 shares of Common Stock, no par value, of the Company (collectively, the "Xxxx Shares").

• Xxxx herewith accepts the Xxxx Shares under the obligation and terms referred to above.

• Promptly following the execution of this Agreement, the Company agrees to cause the Transfer Agent to issue new stock certificates to each of (1) ReRe in the amount of the ReRe Shares, (2) Xxxx in the amount of the Xxxx Shares and (3) Seller, in the amount of 383,334 shares of Common Stock.

Xxxx Shares shall have the meaning set forth in Section 2.3 hereof.

Xxxx Shares means all shares of Common Stock beneficially owned by Xxxxx X. Xxxx or Xxxx Holdings Limited Partnership as of the date hereof, and any such shares which are subsequently transferred to a Xxxx Transferee (such persons, the "Xxxx Stockholders").

Any particular shares constituting Xxxx Shares that are Transferred in compliance with the provisions of this Agreement shall continue to constitute Xxxx Shares in the hands of any such transferee; such shares will cease to be Xxxx Shares only when they have been (i) Transferred to any employee of the Company or any of its Subsidiaries or to any member of the Board, (ii) effectively registered under the Securities Act and disposed of in accordance with the registration statement covering them, or (iii) sold to the public pursuant to Rule 144 (or by similar provision then in force) under the Securities Act. "Bear Xxxxxxx" means, collectively, (i) Bear Xxxxxxx Merchant Banking Partners II, L.P., a Delaware limited partnership, (ii) Bear Xxxxxxx Merchant Banking Investors II, L.P., a Delaware limited partnership, (iii) Bear Xxxxxxx MB-PSERS II, L.P., a Delaware limited partnership, (iv) The BSC Employee Fund III, L.P., a Delaware limited partnership, and (v) The BSC Employee Fund IV, L.P., a Delaware limited partnership.
