XDx Intellectual Property Rights definition

XDx Intellectual Property Rights means patent rights, copyright rights, utility models rights, trade secret rights, trademark rights, rights of publicity, authors’ rights, contract and licensing rights, goodwill and all other intellectual property rights owned or controlled by XDx, as may exist now and/or hereafter come into existence during the term of this Agreement and for a three year period thereafter, and all applications therefor and registrations, continuations, continuations-in-part, divisions, reissues, reexaminations, renewals and extensions thereof, regardless of whether such rights arise under the laws of the United States or any other state, country or jurisdiction, to the extent made by XDx or its affiliates, consultants, employees, or collaborators with the use of the Material or Data. For purposes of clarification, as of the Effective Date of this Agreement, XDx does not own or control any patents or patent applications made with the use of the Material or Data.

  • Third Party Intellectual Property Rights means any Intellectual Property owned by a third party.

  • Registered Intellectual Property Rights means all Intellectual Property Rights that are the subject of an application, certificate, filing, registration, or other document issued by, filed with, or recorded by, any Governmental Authority in any jurisdiction.

  • Licensed Intellectual Property means Intellectual Property licensed to the Company pursuant to the Company IP Agreements.

  • Pre-Existing Intellectual Property Rights means any Intellectual Property Rights vested in or licensed to the Client or the Contractor prior to or independently of the performance by the Client of the Contractor of their obligations under this Contract.

  • Intellectual Property License means any license, sublicense, right, covenant, non-assertion, permission, immunity, consent, release or waiver under or with respect to any Intellectual Property Rights or Technology.

  • New Intellectual Property means all data, discoveries, developments, inventions (whether patentable or not), improvements, methods of use or delivery, processes, know-how, or trade secrets which are generated, conceived, reduced to practice or otherwise made by or on behalf of Recipient as a result of the conduct of the Research Plan or as a result of the use of any Data Set provided to Recipient under this Agreement.

  • Product Intellectual Property means all of the following related to a Divestiture Product (other than Product Licensed Intellectual Property):

  • Intellectual Property Agreements means all licenses, sublicenses and other agreements by or through which other Persons grant Seller or Seller grants any other Persons any exclusive or non-exclusive rights or interests in or to any Intellectual Property that is used in connection with the Business.

  • Background Intellectual Property means all Intellectual Property introduced and required by either Party to give effect to their obligations under this Agreement owned in whole or in part by or licensed to either Party or their affiliates prior to the Commencement Date or developed after the Commencement Date otherwise pursuant to this Agreement;
