No shares of the Class A Common Stock shall be issued and delivered upon the exercise of the Option unless and until WPCC and/or the Optionee shall have complied with all applicable Federal or state registration, listing and/or qualification requirements and all other requirements of law or of any regulatory agencies having jurisdiction.

Each party is and shall be authorized to submit or furnish to any such regulatory agency reports, information, assurances and other data as may be required by or reasonably requested of it under applicable laws and regulations, including, without limitation, any appropriate notifications concerning the initiation or termination of this Agreement or any of the Services provided to WPCC.
